Terms and Conditions of this Purchase Order
- This Purchase Order is issued by MotorTech Iberia S.L., a company registered in Barcelona, Spain, and constitutes a binding request for the provision of Automotive Engineer professional services as detailed in the line items above.
- All Automotive Engineer personnel engaged under this Purchase Order shall be physically present at the designated work locations in Barcelona, Spain, unless otherwise specified in the delivery column. Remote work arrangements require prior written approval from the Buyer.
- The Automotive Engineer team shall comply with all applicable Spanish labour laws, including the Estatuto de los Trabajadores, and all European Union occupational health and safety regulations in force in Barcelona, Spain.
- Payment shall be made via bank transfer to the account specified by the Supplier within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number (PO-2025-BCN-AE-0047). Late payments shall accrue interest at the rate established by Spanish Royal Decree 4/2013.
- The Supplier warrants that all Automotive Engineer personnel assigned to this Purchase Order possess the requisite qualifications, professional certifications, and practical experience in automotive engineering disciplines relevant to the scope of work described herein.
- Intellectual property developed by the Automotive Engineer team in the course of fulfilling this Purchase Order shall vest exclusively in MotorTech Iberia S.L. The Supplier shall execute all necessary assignment agreements prior to commencement of work in Barcelona, Spain.
- Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all Automotive Engineer services rendered up to the effective date of termination.
- All disputes arising from this Purchase Order shall be resolved by the competent courts of Barcelona, Spain, in accordance with Spanish civil and commercial law.
- The Supplier shall maintain professional indemnity insurance with a minimum coverage of €1,000,000 per claim, valid throughout the territory of Spain, for the duration of this Purchase Order.
- This Purchase Order is governed by the laws of Spain. The reference to Barcelona, Spain, throughout this document denotes the primary jurisdiction and operational base for all Automotive Engineer activities contracted hereunder.
