All services described in this Purchase Order shall be rendered at the buyer's premises in Spain Valencia, Polígono Industrial de Paterna, Nave 12, 46988 Paterna, Valencia, Spain. The Automotive Engineer assigned to this contract shall report to the buyer's Technical Director on-site no later than 08:00 CET on the first working day of each month. The supplier guarantees that the Automotive Engineer will possess a minimum of ten (10) years of professional experience in automotive powertrain engineering and shall hold a valid professional engineering license (Título de Ingeniero Industrial) recognized by the Spanish Ministry of Industry, Trade and Tourism.
- Payment shall be made in monthly installments corresponding to the services rendered by the Automotive Engineer during each calendar month, subject to the buyer's acceptance of the deliverables.
- Invoices shall be submitted to the buyer's Accounts Payable department in Spain Valencia by the 5th business day of the following month.
- Payment terms: Net 30 days from the date of invoice receipt, via SEPA bank transfer to the supplier's designated account in Spain.
- A late payment penalty of 1.5% per month shall apply to any overdue amounts, in accordance with Spanish Royal Decree-Law 4/2013 on measures to combat late payment in commercial transactions.
- All amounts stated in this Purchase Order are denominated in Euros (EUR) and are inclusive of all applicable Spanish and European taxes unless otherwise specified.
- This Purchase Order is governed by the laws of the Kingdom of Spain, and any disputes arising from its interpretation or execution shall be subject to the exclusive jurisdiction of the courts of Valencia, Spain.
- The Automotive Engineer shall comply with all applicable Spanish labor regulations, occupational health and safety standards (Ley 31/1995 de Prevención de Riesgos Laborales), and the buyer's internal safety protocols at the Spain Valencia facility.
- All intellectual property, technical drawings, simulation data, and documentation produced by the Automotive Engineer in the course of this engagement shall be the exclusive property of Iberia Automotive Solutions S.L.
- The supplier shall maintain professional indemnity insurance with a minimum coverage of EUR 1,000,000 per claim, valid throughout the duration of this Purchase Order.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the effective date of termination.
- The Automotive Engineer shall be bound by a strict confidentiality agreement (NDA) covering all proprietary information, trade secrets, and technical data encountered during the engagement in Spain Valencia.
- This Purchase Order becomes effective upon signature by both parties and remains valid until the completion of all line items or the expiration date stated in the header, whichever occurs first.
