3. TERMS AND CONDITIONS
- This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both authorized representatives. All services described herein shall be rendered exclusively at the Buyer's premises located in Sri Lanka Colombo unless otherwise agreed in writing.
- The Automotive Engineer engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Automotive Engineering or Mechanical Engineering from a recognized institution, along with a minimum of eight (8) years of progressive experience in vehicle design, manufacturing, or after-sales engineering.
- The Seller warrants that the Automotive Engineer shall be fully qualified, insured, and in compliance with all professional licensing requirements set by the Institution of Engineers, Sri Lanka, and the Sri Lanka Institution of Automotive Engineers.
- Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice. All payments shall be processed in Sri Lankan Rupees (LKR) via bank transfer to the Seller's designated account in Sri Lanka Colombo.
- The Automotive Engineer shall adhere to all health, safety, and environmental protocols in force at the Buyer's Sri Lanka Colombo facility. The Seller shall indemnify the Buyer against any claims arising from the negligence or misconduct of the Automotive Engineer during the engagement period.
- Confidentiality: All proprietary designs, manufacturing processes, customer data, and technical specifications disclosed to the Automotive Engineer in the course of this Purchase Order shall remain the exclusive property of the Buyer. The Seller and the Automotive Engineer shall execute a Non-Disclosure Agreement (NDA) prior to commencement of work.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination, and the Automotive Engineer shall return all company property, documentation, and access credentials within five (5) business days.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Sri Lanka Colombo in accordance with the Arbitration Act of Sri Lanka. The courts of Colombo shall have exclusive jurisdiction.
- This Purchase Order is governed by the laws of the Democratic Socialist Republic of Sri Lanka. All references to Sri Lanka Colombo in this document refer to the Western Province administrative region and its immediate metropolitan area.
4. DELIVERY AND PERFORMANCE SCHEDULE
The Automotive Engineer shall commence duties on or before 01 July 2025 at the Buyer's manufacturing facility in Sri Lanka Colombo. A detailed project timeline, including milestones for design reviews, prototype testing, and final certification submissions, shall be submitted by the Seller within ten (10) business days of this Purchase Order being accepted. Monthly progress reports shall be submitted to the Buyer's Procurement and Engineering departments by the 5th of each month.
5. ACCEPTANCE AND AUTHORIZATION
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Automotive Engineer in Sri Lanka Colombo. This document, together with any attached schedules and the executed NDA, forms the complete agreement between the parties.
