Description of Purchase Order Scope

This Purchase Order is issued by National Automotive Engineering & Technical Services Co. Ltd., headquartered in Sudan Khartoum, to formally request and authorize the procurement of specialized professional services from an Automotive Engineer and associated technical consultancy team. The scope of this Purchase Order encompasses the full-cycle engineering support required for the design, prototyping, testing, and certification of a new line of commercial vehicles intended for the domestic and regional markets operating out of Sudan Khartoum. The Automotive Engineer engaged under this Purchase Order shall be responsible for ensuring that all engineering deliverables comply with the Sudanese National Standards Authority (SUNAS) regulations and the applicable international automotive engineering standards as adopted for use in Sudan Khartoum.

Terms and Conditions of This Purchase Order
  1. Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by the Supplier. The Supplier must confirm acceptance of all terms within five (5) business days of receipt of this Purchase Order.
  2. Scope of Work: The Automotive Engineer and the associated engineering team shall perform all duties strictly in accordance with the specifications outlined in Annex A attached to this Purchase Order. Any deviation from the agreed scope requires a formal change order signed by both parties.
  3. Performance Location: All on-site engineering activities, testing, and supervision shall be conducted at the purchaser's facility located in Sudan Khartoum, Industrial Zone 3. The Automotive Engineer is expected to be physically present at the Sudan Khartoum site for a minimum of five (5) days per week during active project phases.
  4. Payment Schedule: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon successful completion of Phase 1 prototype validation, and 30% upon final delivery and acceptance of all engineering deliverables. All payments shall be processed in Sudanese Pounds (SDG) via bank transfer to the account specified by the Supplier.
  5. Quality Assurance: The Automotive Engineer shall ensure that all engineering outputs meet or exceed the quality benchmarks established by the Sudanese National Standards Authority. The purchaser reserves the right to conduct independent quality audits at any stage of the project.
  6. Intellectual Property: All designs, drawings, simulations, and technical documentation produced under this Purchase Order shall become the exclusive property of the purchaser upon full payment. The Automotive Engineer shall not reuse, replicate, or disclose any proprietary information to third parties without written consent.
  7. Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, commercial terms, and operational details shared in connection with this Purchase Order. This obligation shall survive the termination of the agreement for a period of three (3) years.
  8. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Automotive Engineer shall deliver all work-in-progress documentation and materials to the purchaser, and payment shall be adjusted pro-rata for services rendered.
  9. Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the rules of the Sudanese Arbitration Centre in Sudan Khartoum.
  10. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Sudan. All legal proceedings shall take place in the competent courts of Sudan Khartoum.
  11. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest affecting the Sudan Khartoum region.
