1. Description of Purchase OrderThis Purchase Order is issued by East Africa Automotive Solutions Ltd., a registered entity operating in Uganda Kampala, to formally engage the services of a qualified Automotive Engineer through Nile Valley Engineering & Consulting Ltd. The purpose of this Purchase Order is to procure specialized automotive engineering consultancy services for the design, testing, and certification of a new line of commercial vehicle components intended for the Ugandan and East African markets. The Automotive Engineer engaged under this Purchase Order shall be responsible for ensuring that all deliverables comply with the Uganda National Bureau of Standards (UNBS) regulations and the East African Community (EAC) automotive industry guidelines applicable in Uganda Kampala and the broader region.

- Acceptance: This Purchase Order shall become binding upon written acceptance by Nile Valley Engineering & Consulting Ltd. within five (5) business days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
- Qualification of the Automotive Engineer: The Automotive Engineer assigned to this Purchase Order must hold a minimum of a Bachelor's degree in Automotive Engineering or Mechanical Engineering from a recognized institution, possess at least eight (8) years of progressive experience in commercial vehicle engineering, and be a registered member of the Engineering Institution of Uganda (EIU) with a valid practicing certificate valid in Uganda Kampala.
- Payment Terms: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon completion of the mid-project milestone review, and 30% upon final acceptance of all deliverables. All payments shall be made via bank transfer to the account designated by the supplier. Payment is due within fourteen (14) calendar days of invoice submission.
- Performance Location: All services under this Purchase Order shall be performed primarily at the buyer's facility located in Uganda Kampala, Industrial Area, with occasional travel to other sites within Uganda as mutually agreed in writing.
- Intellectual Property: All designs, drawings, reports, and technical documentation produced by the Automotive Engineer under this Purchase Order shall become the exclusive property of East Africa Automotive Solutions Ltd. upon full payment. The supplier shall not reproduce, distribute, or use such materials for any other client without prior written consent.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data exchanged in the course of this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Warranty and Defects: The Automotive Engineer warrants that all engineering work delivered under this Purchase Order shall be free from defects in design and shall conform to all applicable Ugandan and EAC standards. A warranty period of twelve (12) months shall apply from the date of final acceptance.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services satisfactorily rendered up to the date of termination.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be attempted to be resolved through amicable negotiation. If unresolved within thirty (30) days, the dispute shall be referred to arbitration in Uganda Kampala in accordance with the Arbitration Act of Uganda, 2000. The language of arbitration shall be English.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Uganda, including all applicable regulations pertaining to engineering services, procurement, and commercial transactions in Uganda Kampala.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, epidemics, or civil unrest in Uganda Kampala or the wider region.
By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms and conditions set forth in this Purchase Order for the engagement of the Automotive Engineer services in Uganda Kampala. This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements.
