1. This Purchase Order is governed by and shall be construed in accordance with the laws of the United Arab Emirates, specifically the Federal Commercial Transactions Law and the civil code provisions applicable in Abu Dhabi. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of the United Arab Emirates Abu Dhabi.
2. The Automotive Engineer(s) engaged under this Purchase Order shall be bound by a strict confidentiality and non-disclosure agreement. All proprietary data, design files, test results, and technical documentation generated during the course of this engagement shall remain the sole intellectual property of Al Nakheel Automotive Solutions LLC.
3. Payment shall be made via bank transfer to the vendor's designated account in the United Arab Emirates Abu Dhabi within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate of 1.5% per month as permitted under UAE commercial law.
4. The vendor shall ensure that the Automotive Engineer possesses all necessary professional qualifications, valid UAE work permits, and professional indemnity insurance coverage of no less than AED 2,000,000. Failure to maintain valid credentials shall constitute a material breach of this Purchase Order.
5. All work performed under this Purchase Order shall be carried out at the vendor's registered facility in Khalifa Industrial Area 2 (KIZAD), United Arab Emirates Abu Dhabi, or at such other location as mutually agreed in writing by both parties.
6. The project duration under this Purchase Order is twelve (12) months commencing from the date of acceptance. Early termination may be effected by either party upon sixty (60) days' written notice, subject to payment for all services rendered up to the termination date.
7. The vendor shall comply with all applicable health, safety, and environmental regulations in force in the United Arab Emirates Abu Dhabi. The Automotive Engineer shall adhere to the site-specific safety protocols established by Al Nakheel Automotive Solutions LLC.
8. This Purchase Order shall not be construed as creating a partnership, joint venture, or agency relationship between the parties. The Automotive Engineer is engaged as an independent contractor and shall not represent Al Nakheel Automotive Solutions LLC to any third party without prior written authorization.
9. All communications, notices, and formal correspondence relating to this Purchase Order shall be in writing and delivered to the addresses specified above in the United Arab Emirates Abu Dhabi. Electronic communication via registered email shall be deemed sufficient for all non-legal notices.
