6.1 This Purchase Order is governed by the laws of the United Arab Emirates and the specific commercial regulations applicable in Dubai. Any disputes arising from this Purchase Order shall be resolved through the Dubai International Financial Centre (DIFC) Courts.
6.2 The Automotive Engineer(s) engaged under this Purchase Order shall maintain all necessary professional certifications, UAE work permits, and medical fitness certificates throughout the engagement period. The supplier is responsible for obtaining and renewing all such permits at its own cost.
6.3 Payment terms: 30% advance upon acceptance of this Purchase Order, 40% upon completion of the mid-project milestone review (Month 6), and 30% upon final delivery and acceptance of the comprehensive engineering report. All payments shall be made via bank transfer to the supplier's designated account in United Arab Emirates Dubai.
6.4 The Automotive Engineer shall adhere to the buyer's intellectual property policies. All design documents, simulation data, test results, and reports produced under this Purchase Order shall be the exclusive property of Emirates Advanced Mobility Solutions LLC.
6.5 The supplier shall provide a minimum of 30 days' written notice for any proposed substitution of the assigned Automotive Engineer. Any replacement must possess equivalent or superior qualifications and experience.
6.6 Force majeure events, including but not limited to government-mandated shutdowns in United Arab Emirates Dubai, shall extend the project timeline proportionally without penalty to either party.
6.7 This Purchase Order becomes effective upon countersignature by both parties and remains valid for a period of twelve (12) months from the date of issue, unless terminated earlier in accordance with the termination clause.
All deliverables under this Purchase Order, including but not limited to engineering reports, simulation outputs, calibration data, and compliance documentation, shall be delivered to the buyer's designated office in United Arab Emirates Dubai (Dubai Internet City, Sheikh Zayed Road) no later than the dates specified in the project schedule. Acceptance of deliverables shall be confirmed in writing by the buyer's Technical Director within ten (10) business days of receipt. Failure to provide written rejection within this period shall constitute deemed acceptance.
