This Purchase Order is issued by Midlands Automotive Solutions Ltd. to engage the services of a qualified Automotive Engineer and associated technical team for the design, analysis, and validation of next-generation powertrain components. All work shall be performed in accordance with the specifications outlined in this Purchase Order and shall be delivered at the designated facility in United Kingdom Birmingham, or at such other location as mutually agreed in writing. The Automotive Engineer shall hold a minimum of ten (10) years of professional experience in vehicle powertrain development, chassis engineering, or advanced materials application, and shall be a registered member of the Institution of Mechanical Engineers (IMechE) or the Institution of Engineering and Technology (IET).

All deliverables under this Purchase Order shall be submitted to the Buyer's project management office at the Birmingham, United Kingdom site no later than the dates specified in the attached project schedule (Appendix A). The Automotive Engineer shall provide weekly progress reports every Friday by 17:00 GMT. Acceptance of each deliverable shall be confirmed in writing by the Buyer within ten (10) working days of submission. Failure to provide written rejection within this period shall constitute deemed acceptance. All engineering drawings, simulation data, and test reports shall be delivered in both PDF and native CAD/CAE file formats compatible with the Buyer's PLM system.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
- Payment: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice bearing the Purchase Order number PO-UK-BHM-2025-04872. Late payments shall accrue interest at the rate of 4% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- Intellectual Property: All work product, designs, data, and documentation created specifically for the Buyer under this Purchase Order shall be the sole and exclusive property of Midlands Automotive Solutions Ltd. upon full payment. The Automotive Engineer and the Supplier retain ownership of pre-existing IP, tools, and methodologies, granting the Buyer a perpetual, non-exclusive licence to use such materials as incorporated into the deliverables.
- Confidentiality: Both parties agree to maintain strict confidentiality of all proprietary information exchanged in connection with this Purchase Order. This obligation shall survive termination for a period of five (5) years.
- Insurance: The Supplier shall maintain Professional Indemnity Insurance of no less than £5,000,000 per claim and Public Liability Insurance of no less than £10,000,000 for the duration of the engagement in United Kingdom Birmingham.
- Health & Safety: All personnel, including the Automotive Engineer, shall comply with the Buyer's site health and safety policies and all applicable UK legislation, including the Health and Safety at Work etc. Act 1974 and the Management of Health and Safety at Work Regulations 1999.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services satisfactorily rendered up to the effective date of termination.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, industrial action, or government-imposed restrictions affecting operations in the United Kingdom.
- Warranty: The Supplier warrants that all services shall be performed with reasonable skill and care, in accordance with the highest professional standards expected of a qualified Automotive Engineer in the United Kingdom. Any defects in workmanship shall be remedied at the Supplier's cost within fourteen (14) days of written notification.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of Automotive Engineer services in United Kingdom Birmingham.
