This Purchase Order is issued by Northbridge Automotive Solutions Ltd. to engage the services of a qualified Automotive Engineer (or team of Automotive Engineers) to deliver comprehensive engineering support for our vehicle development programme based in United Kingdom Manchester. The Automotive Engineer shall be responsible for the design, analysis, testing, and optimisation of powertrain systems, chassis components, and vehicle integration for our next-generation electric and hybrid vehicle platforms. All work shall be conducted in accordance with the specifications outlined in this Purchase Order and the attached Statement of Work (SOW-UKM-2025-04782-A).

- Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of England and Wales, United Kingdom. Any disputes arising from this Purchase Order relating to the Automotive Engineer engagement in Manchester shall be subject to the exclusive jurisdiction of the courts of Manchester, United Kingdom.
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 4% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- Work Location: All Automotive Engineer personnel engaged under this Purchase Order shall be based at the Northbridge Automotive Solutions Ltd. facility in Manchester, United Kingdom, or at such other locations within the Manchester metropolitan area as mutually agreed in writing.
- Intellectual Property: All work product, designs, calculations, simulations, and documentation created by the Automotive Engineer(s) in the course of performing services under this Purchase Order shall be the sole and exclusive property of Northbridge Automotive Solutions Ltd.
- Confidentiality: The Automotive Engineer and all associated personnel shall maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data disclosed during the engagement. This obligation shall survive termination of this Purchase Order for a period of five (5) years.
- Compliance: The Automotive Engineer shall comply with all applicable United Kingdom legislation, including but not limited to the Health and Safety at Work etc. Act 1974, the Data Protection Act 2018, and all relevant automotive industry standards (ISO 26262, IATF 16949, and UNECE regulations).
- Termination: Either party may terminate this Purchase Order with ninety (90) days' written notice. In the event of material breach, the non-breaching party may terminate with fourteen (14) days' written notice. Upon termination, the Automotive Engineer shall deliver all work-in-progress and project documentation to the Buyer.
- Insurance: The Supplier shall maintain professional indemnity insurance of no less than £5,000,000 and public liability insurance of no less than £10,000,000 for the duration of this Purchase Order.
- Performance Standards: The Automotive Engineer shall meet all milestones and deliverables as specified in the attached Statement of Work. Failure to meet agreed milestones without prior written approval shall constitute a breach of this Purchase Order.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of God, war, terrorism, or government-imposed restrictions affecting operations in Manchester, United Kingdom.
By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work set forth in this Purchase Order for the engagement of Automotive Engineer services in Manchester, United Kingdom. This Purchase Order constitutes a binding agreement between the parties upon execution by both authorised signatories.
