- Scope of Work: The Vendor shall provide qualified Automotive Engineer professionals as specified in the line items above. All Automotive Engineer personnel must hold a minimum of a Bachelor's degree in Mechanical Engineering, Electrical Engineering, or a directly related discipline, and possess a valid Illinois Professional Engineer (PE) license where applicable. All work shall be performed at the Buyer's facility in United States Chicago unless otherwise authorized in writing.
- Performance Period: Services shall commence on July 1, 2025, and continue through June 30, 2026, unless terminated earlier in accordance with Section 7 of this Purchase Order.
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with the Illinois Prompt Payment Act.
- Intellectual Property: All work product, designs, prototypes, code, and documentation created by the Automotive Engineer personnel in the course of performing services under this Purchase Order shall be the sole and exclusive property of the Buyer. The Vendor warrants that no third-party intellectual property rights shall be infringed.
- Confidentiality: The Vendor and all Automotive Engineer personnel shall execute and maintain a Non-Disclosure Agreement (NDA) in a form acceptable to the Buyer. Confidential information includes but is not limited to proprietary EV powertrain designs, battery chemistry formulations, and ADAS algorithms developed at the United States Chicago facility.
- Compliance: The Vendor shall ensure all Automotive Engineer personnel comply with all applicable United States federal laws, Illinois state regulations, and Chicago municipal ordinances, including but not limited to OSHA workplace safety standards, the Illinois Freedom from Discrimination Act, and the Chicago Municipal Code.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Vendor shall return all Buyer property, including workstations, access badges, and proprietary documentation.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois, United States of America. Any disputes shall be resolved through binding arbitration in Chicago, Illinois, in accordance with the rules of the American Arbitration Association.
- Insurance: The Vendor shall maintain comprehensive general liability insurance, professional liability (errors and omissions) insurance, and workers' compensation insurance as required by Illinois law throughout the term of this Purchase Order. Certificates of insurance shall be provided to the Buyer prior to commencement of services.
- Subcontracting: The Vendor shall not subcontract any portion of the Automotive Engineer services without prior written consent from the Buyer. Any approved subcontractor shall be subject to the same terms, conditions, and compliance requirements as set forth in this Purchase Order.
