- This Purchase Order constitutes a binding agreement between Meridian Automotive Solutions, Inc. (hereinafter "Buyer") and Apex Engineering & Technical Consulting Group, LLC (hereinafter "Vendor") for the provision of qualified Automotive Engineer professional services as described in the line items above.
- All Automotive Engineer personnel assigned under this Purchase Order must hold a minimum of a Bachelor's degree in Mechanical Engineering, Electrical Engineering, or a directly related field from an ABET-accredited institution. Senior-level Automotive Engineer positions require a minimum of eight (8) years of progressive automotive industry experience.
- Services shall be performed primarily at the Buyer's facility located in United States Houston, Texas, at 4820 Industrial Boulevard, Suite 300. Any off-site work must be pre-approved in writing by the Buyer's Project Manager.
- Payment terms: Net 45 days from the date of invoice receipt. Invoices shall be submitted monthly in arrears. Late payments shall accrue interest at a rate of 1.5% per month.
- The Vendor shall maintain all necessary professional liability insurance, workers' compensation coverage, and general liability insurance with minimum limits of $2,000,000 per occurrence. Certificates of insurance shall be provided prior to commencement of services in United States Houston.
- All work product, including but not limited to design documents, simulation data, calibration files, and engineering reports produced by the Automotive Engineer team, shall be the sole and exclusive property of the Buyer. The Vendor grants the Buyer a perpetual, irrevocable, royalty-free license to all such work product.
- The Vendor shall comply with all applicable federal, Texas state, and United States Houston municipal laws and regulations, including but not limited to OSHA workplace safety standards, EPA environmental regulations, and the Texas Labor Code.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Vendor shall be compensated for all services rendered through the effective date of termination, less any applicable deductions.
- The Vendor shall not subcontract any portion of the Automotive Engineer services without prior written consent from the Buyer. Any approved subcontractor shall be bound by the same terms and conditions set forth in this Purchase Order.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the State of Texas, United States. Any disputes arising hereunder shall be resolved through binding arbitration in United States Houston, Texas, in accordance with the rules of the American Arbitration Association.
- The Vendor acknowledges that the Automotive Engineer personnel assigned to this engagement may have access to the Buyer's proprietary and trade-secret information. All such personnel shall execute a Non-Disclosure Agreement (NDA) prior to commencing work, and the Vendor shall be liable for any breach of confidentiality obligations.
