- This Purchase Order constitutes a binding agreement between Pacific Coast Automotive Solutions, Inc. and Meridian Technical Consulting Group, LLC for the provision of Automotive Engineer professional services as described herein. All work shall be performed in accordance with the specifications outlined in this Purchase Order and the attached Statement of Work (SOW-2025-LA-04872).
- All Automotive Engineer personnel assigned to this Purchase Order must hold a valid Professional Engineer (PE) license in the State of California and possess a minimum of eight (8) years of experience in the automotive industry. The vendor shall provide resumes and credential verification for each Automotive Engineer prior to commencement of work in the United States Los Angeles area.
- Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-LA-04872) and include a detailed breakdown of hours worked by each Automotive Engineer, project code, and deliverable milestone achieved.
- All engineering deliverables, including but not limited to CAD models, simulation data, test reports, and design documentation produced by the Automotive Engineer team, shall become the sole property of Pacific Coast Automotive Solutions, Inc. upon full payment. The vendor shall execute a non-disclosure agreement (NDA) covering all proprietary information related to the United States Los Angeles manufacturing and R&D operations.
- The vendor is responsible for all travel, lodging, and per diem expenses incurred by Automotive Engineer staff while performing on-site duties at the United States Los Angeles facility located at 4521 Wilshire Boulevard. Travel expenses exceeding $5,000 per month require prior written approval from the buyer.
- Work under this Purchase Order shall commence on June 23, 2025, and is expected to be completed no later than December 15, 2025. Any extension of the project timeline must be mutually agreed upon in writing by both parties.
- The vendor shall maintain professional liability insurance with a minimum coverage of $5,000,000 per occurrence and $10,000,000 aggregate, naming Pacific Coast Automotive Solutions, Inc. as an additional insured. Certificates of insurance must be provided prior to the start date.
- This Purchase Order is governed by the laws of the State of California. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in the United States Los Angeles County, in accordance with the rules of the American Arbitration Association.
- The buyer reserves the right to terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the vendor shall be compensated for all hours worked and approved deliverables completed up to the termination date.
- All Automotive Engineer services rendered under this Purchase Order must comply with applicable federal, state, and local regulations in the United States, including but not limited to California Labor Code provisions, OSHA safety standards, and EPA environmental regulations applicable to the United States Los Angeles jurisdiction.
