This Purchase Order is issued by South Florida Automotive Innovation Group, LLC for the engagement of a qualified Automotive Engineer to provide specialized technical consulting, design, and validation services. The Automotive Engineer is expected to possess a minimum of ten (10) years of progressive experience in automotive systems engineering, a valid Professional Engineer (PE) license in the State of Florida, and demonstrated proficiency in CAD/CAM software platforms including CATIA, SolidWorks, and ANSYS. All deliverables under this Purchase Order shall comply with the Federal Motor Vehicle Safety Standards (FMVSS) and applicable regulations enforced by the National Highway Traffic Safety Administration (NHTSA) within the United States Miami metropolitan jurisdiction.

- Delivery / Commencement: The Automotive Engineer personnel shall report to the buyer's facility in United States Miami no later than July 1, 2025. All onboarding, security clearances, and site-access protocols specific to the United States Miami industrial zone shall be completed within the first five (5) business days.
- Payment Terms: Net 45 days from the date of invoice. Payment shall be made via wire transfer to the supplier's designated bank account. A 1.5% monthly late-payment interest shall apply to overdue balances. The initial 25% deposit is due upon execution of this Purchase Order.
- Performance Standards: The Automotive Engineer shall adhere to all project milestones outlined in the attached Statement of Work (SOW-2025-04872-A). Failure to meet critical path deadlines by more than ten (10) business days shall constitute a material breach of this Purchase Order.
- Intellectual Property: All designs, prototypes, test data, and engineering documentation produced by the Automotive Engineer under this Purchase Order shall be the sole and exclusive property of South Florida Automotive Innovation Group, LLC. The supplier shall execute all necessary IP assignment agreements prior to commencement of work in United States Miami.
- Compliance & Safety: All work performed by the Automotive Engineer shall comply with OSHA regulations, Florida state labor laws, and the specific municipal codes of the City of Miami, United States Miami metropolitan area. The supplier shall maintain all required professional liability and workers' compensation insurance.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the buyer shall compensate the supplier for all work completed and non-cancellable commitments incurred up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States of America. Any disputes shall be resolved through binding arbitration in United States Miami, Dade County, in accordance with the rules of the American Arbitration Association.
- Confidentiality: Both parties agree to maintain strict confidentiality of all proprietary information exchanged in connection with this Purchase Order. The Automotive Engineer shall be bound by a Non-Disclosure Agreement (NDA) as a condition of site access in United States Miami.
