Terms and Conditions of This Purchase Order

1. Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by the supplier. The supplier must return a signed copy of this Purchase Order to Meridian Automotive Solutions, Inc. within five (5) business days of the date of issue.
2. Payment Terms: Payment shall be made Net 30 days from the date of invoice receipt. Invoices must reference this Purchase Order number (MAS-2025-04872) and shall be submitted electronically to [email protected]. Late payments shall accrue interest at a rate of 1.5% per month as permitted under New York State commercial law.
3. Performance Period: The Automotive Engineer shall commence work on or before July 1, 2025, and shall complete all deliverables no later than November 15, 2025. Any extension of the performance period must be approved in writing by the buyer.
4. Location of Work: Primary work shall be conducted at the supplier's facility in United States New York City. On-site visits to the buyer's manufacturing plant in Queens, United States New York City, shall be scheduled no more than twice per week unless otherwise agreed.
5. Intellectual Property: All designs, models, analyses, reports, and documentation produced by the Automotive Engineer under this Purchase Order shall be the sole and exclusive property of Meridian Automotive Solutions, Inc. The supplier grants a full, irrevocable assignment of all intellectual property rights upon final payment.
6. Confidentiality: The Automotive Engineer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data disclosed by the buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
7. Compliance: The Automotive Engineer shall comply with all applicable federal, state, and local laws, including but not limited to regulations enforced by the U.S. Environmental Protection Agency, the New York State Department of Environmental Conservation, and the New York City Department of Buildings. All work must adhere to SAE J1939, ISO 26262, and applicable FMVSS standards.
8. Insurance: The supplier shall maintain professional liability insurance of no less than $2,000,000 per occurrence and general liability insurance of no less than $1,000,000. Certificates of insurance shall be provided prior to commencement of work.
9. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the buyer shall compensate the Automotive Engineer for all work satisfactorily completed through the effective date of termination.
10. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York. Any disputes arising hereunder shall be resolved through binding arbitration in United States New York City in accordance with the rules of the American Arbitration Association.
11. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the United States New York City area.
