- Acceptance: This Purchase Order constitutes a binding offer. Acceptance by the vendor shall be confirmed in writing within five (5) business days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
- Scope of Work: The Automotive Engineer(s) engaged under this Purchase Order shall perform all duties at the Bay Area Automotive Solutions facility located at 1450 Market Street, United States San Francisco, CA 94103, Monday through Friday, 8:00 AM to 5:30 PM Pacific Time, unless otherwise agreed in writing.
- Deliverables: All engineering deliverables, including but not limited to design documents, simulation reports, test protocols, and validation data, shall be submitted in accordance with the project milestone schedule attached as Exhibit A to this Purchase Order.
- Payment: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-SF-04872) and be submitted electronically to [email protected].
- Intellectual Property: All work product, designs, prototypes, and data generated under this Purchase Order shall be the sole and exclusive property of Bay Area Automotive Solutions, Inc. The vendor and the Automotive Engineer(s) hereby assign all rights, title, and interest therein.
- Confidentiality: The vendor and all assigned Automotive Engineer personnel shall maintain strict confidentiality of all proprietary information, trade secrets, and technical data disclosed during the course of this engagement. A separate Non-Disclosure Agreement (NDA) is incorporated by reference.
- Compliance: All work performed under this Purchase Order shall comply with applicable Federal Motor Vehicle Safety Standards (FMVSS), California Air Resources Board (CARB) regulations, and all local ordinances governing the City and County of San Francisco, United States.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the vendor shall be compensated for all work satisfactorily completed through the effective date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, with venue exclusively in the Superior Court of California, County of San Francisco, United States.
- Insurance: The vendor shall maintain Commercial General Liability insurance of no less than $2,000,000 per occurrence and Professional Liability (Errors & Omissions) insurance of no less than $1,000,000, naming Bay Area Automotive Solutions, Inc. as an additional insured.
