• 5.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon countersignature. All terms herein govern the provision of Automotive Engineer services within the jurisdiction of Venezuela Caracas.
• 5.2 The Automotive Engineer assigned to this contract must hold a minimum of ten (10) years of professional experience in powertrain systems, possess a valid professional engineering license, and demonstrate prior experience working in Latin American manufacturing environments.
• 5.3 Payment terms: 30% advance upon execution of this Purchase Order, 40% upon completion of the transmission line redesign phase, and 30% upon final acceptance of all deliverables. Payments shall be made via international wire transfer in US Dollars to the account specified by the Supplier.
• 5.4 The Automotive Engineer shall comply with all applicable labor, immigration, and professional licensing regulations of the Bolivarian Republic of Venezuela. The Buyer shall facilitate the necessary work permits and professional registration with the Colegio de Ingenieros de Venezuela for the duration of the assignment in Venezuela Caracas.
• 5.5 All intellectual property, engineering drawings, CAD models, and technical reports produced under this Purchase Order shall be the exclusive property of Caracas Automotive Solutions C.A. The Automotive Engineer and Supplier shall sign a non-disclosure agreement (NDA) prior to commencing work.
• 5.6 The Supplier warrants that the Automotive Engineer shall perform all duties with the skill, care, and diligence expected of a seasoned professional in the automotive engineering field. Any deficiency in workmanship shall be corrected at no additional cost within fifteen (15) business days of written notice.
• 5.7 Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, currency controls, or civil unrest affecting operations in Venezuela Caracas.
• 5.8 Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Bolivarian Republic of Venezuela. Any disputes shall be resolved through binding arbitration in Venezuela Caracas under the rules of the Cámara de Comercio de Caracas.
• 5.9 The Automotive Engineer shall submit weekly progress reports to the Buyer's Procurement Director and shall attend bi-weekly coordination meetings held at the Buyer's headquarters in Venezuela Caracas.
• 5.10 This Purchase Order may not be assigned or subcontracted without prior written consent from the Buyer. The named Automotive Engineer must remain the primary point of technical contact throughout the engagement.

The Automotive Engineer shall report to the Buyer's facility in Venezuela Caracas no later than 08:00 AM (VET) on July 01, 2025. The total project duration is estimated at sixteen (16) weeks, subject to mutual agreement for extensions. All on-site work shall be conducted at the addresses specified in Section 3 of this Purchase Order.
