Terms and Conditions- Delivery: Baker shall deliver all goods listed in this Purchase Order to the designated receiving warehouse at the Ministry of Commerce & Industry compound, Wazir Akbar Khan Road, Kabul, Afghanistan, no later than 30 August 2025. Delivery shall be made on a CIF (Cost, Insurance, and Freight) basis to the port of entry in Kabul.
- Payment: Payment shall be made within forty-five (45) calendar days of the date of successful delivery and acceptance of goods in Kabul. Payment shall be processed via irrevocable letter of credit issued by a recognized Afghan commercial bank in favor of Baker Industrial Supply Co., Ltd.
- Quality Assurance: All equipment supplied by Baker must carry a minimum two-year manufacturer's warranty. Baker shall provide full technical documentation, operation manuals in English and Dari, and compliance certificates for each item delivered to Kabul.
- Installation & Training: Baker shall dispatch a qualified technical team to Kabul, Afghanistan, within ten (10) business days of goods arrival to perform installation, calibration, and a minimum of five (5) days of on-site operator training for Afghan personnel.
- Compliance: Baker warrants that all goods and services under this Purchase Order comply with the laws of the Republic of Afghanistan, applicable international trade regulations, and any sanctions or export control requirements of the United States and the destination country.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, political instability in the Kabul region, war, or government-imposed trade restrictions.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be submitted to arbitration under the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in Geneva, Switzerland.
- Confidentiality: Baker agrees to maintain strict confidentiality regarding all proprietary information, pricing structures, and operational details shared in connection with this Purchase Order for the duration of the contract and for a period of three (3) years thereafter.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG), supplemented by the commercial laws of the Republic of Afghanistan.
