Perishable items must be transported in temperature-controlled vehicles maintained at or below 4°C. 1. This Purchase Order constitutes a binding agreement between the Buyer and the Baker upon signature by both parties. It is governed by the laws of the People's Democratic Republic of Algeria.
2. The Baker shall not subcontract any portion of the baking or production work without prior written consent from the Buyer.
3. All intellectual property related to custom cake designs and pastry recipes developed under this Purchase Order shall remain the property of the Baker, while the Buyer retains a non-exclusive license to use the designs for internal operations in Algeria Algiers.
4. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Baker shall complete all orders already in production at the time of notice.
5. Disputes arising from this Purchase Order shall be resolved amicably. Failing resolution within fifteen (15) days, the matter shall be submitted to the competent commercial court in Algeria Algiers.
6. The Baker shall maintain comprehensive liability insurance covering product liability, public liability, and professional indemnity, with a minimum coverage of 10,000,000 DZD, valid throughout the contract period.
