Terms & Conditions of this Purchase Order

1. This Purchase Order is issued by Golden Crust Restaurant & Hotel Group, Dhaka, Bangladesh, and is directed to Baker International Ltd. for the supply of professional baking equipment, raw ingredients, and related services as itemized above.
2. All goods must be delivered to the buyer's premises at Gulshan-2, Bangladesh Dhaka, within the stipulated delivery deadline of 30 June 2025. Baker shall bear all transportation, insurance, and customs clearance costs up to the delivery point in Dhaka.
3. Baker warrants that all equipment supplied under this Purchase Order shall be new, unused, and in full compliance with the Bangladesh Standards and Testing Institution (BSTI) regulations and applicable food safety standards of the Department of Food Safety, Government of Bangladesh.
4. Payment shall be made within thirty (30) calendar days from the date of confirmed delivery and acceptance of goods at the buyer's facility in Dhaka. Payment shall be processed via bank transfer to Baker's designated account in Bangladesh.
5. Baker shall provide a comprehensive warranty of not less than twenty-four (24) months on all mechanical and electrical equipment. Consumable items such as flour, yeast, butter, and baking powder shall carry a minimum shelf life of six (6) months from the date of delivery.
6. The installation, commissioning, and staff training services (Item No. 10) shall be conducted at the buyer's kitchen premises in Dhaka by Baker's certified technical team. A minimum of eight (8) hours of hands-on training shall be provided to the buyer's kitchen staff.
7. Any delay in delivery beyond the agreed deadline shall attract a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10% of the total value.
8. This Purchase Order is governed by the laws of the People's Republic of Bangladesh. Any disputes arising from this document shall be resolved through arbitration in Dhaka, Bangladesh, in accordance with the Arbitration Act, 2001 of Bangladesh.
9. Baker shall provide a detailed delivery note, commercial invoice, and VAT invoice in Bangladeshi Taka (BDT) at the time of delivery. All documentation must be in English and, where required, in Bengali (Bangla) to comply with local regulatory requirements in Dhaka.
10. This Purchase Order becomes binding upon written or electronic acceptance by Baker International Ltd. No modification to this document shall be valid unless executed in writing and signed by authorized representatives of both parties.
