All baked goods shall be delivered fresh to the Consortium’s central kitchen facility at 12 Rue de la Boucherie, 1000 Brussels, Belgium. The Baker is responsible for cold-chain transport within the Brussels metropolitan area. Deliveries must occur between 05:00 and 07:00 CET on the agreed delivery dates. The Baker shall provide a signed delivery note for each shipment, confirming product type, quantity, and batch number. Any product arriving outside the specified temperature range (2–8 °C for dairy-based items) shall be rejected at the Buyer’s discretion.

  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Belgium. Any disputes arising from this Purchase Order shall be submitted to the competent commercial court of Brussels, Belgium.
  2. Quality Assurance: The Baker warrants that all products conform to Belgian and European Union food safety regulations (Regulation (EC) No 852/2004). The Baker shall maintain a valid artisanal baker’s license issued by the Brussels-Capital Region throughout the duration of this Purchase Order.
  3. Payment: Payment of EUR 47,432.00 shall be made via bank transfer to the Baker’s designated account (IBAN: BE68 5390 0754 7034) within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate prescribed by Belgian law (Article 5:111 of the Belgian Code of Economic Law).
  4. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Belgium Brussels, or supply chain disruptions affecting the Baker’s ability to source Belgian agricultural ingredients.
  5. Confidentiality: The Baker agrees to treat all proprietary recipes, operational data, and commercial information shared under this Purchase Order as strictly confidential for a period of two (2) years following its termination.
  6. Termination: Either party may terminate this Purchase Order with fourteen (14) days’ written notice. In the event of termination, the Baker shall complete all deliveries already scheduled and the Buyer shall pay for all goods and services rendered up to the termination date.
  7. Compliance: The Baker confirms full compliance with Belgian labor laws, the Brussels-Capital Region environmental regulations, and all applicable EU directives regarding food production and artisanal trade.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Baker’s services and products in Belgium Brussels.
