All goods and services referenced in this Purchase Order shall be delivered to the Baker manufacturing and assembly facility located at Setor Industrial Norte, Quadra 07, Lote 12, Brasília – DF, 71530-000, Brazil. The supplier is responsible for arranging all transportation, customs clearance (if applicable), and insurance from the point of origin in São Paulo to the final destination in Brazil Brasília. Delivery is expected no later than 30 July 2025. The supplier must provide a minimum of 72 hours' advance written notice prior to arrival at the Baker facility in Brasília. Payment shall be made by bank transfer (TED/PIX) to the supplier's designated account in Brazilian Reais (BRL). The payment schedule for this Purchase Order is as follows: 30% advance payment upon confirmation of this Purchase Order by Baker; 50% upon verified delivery and acceptance of all physical goods at the Baker site in Brazil Brasília; and the remaining 20% within 30 calendar days following successful completion of the installation, calibration, and operator training services. Late payments shall accrue interest at the rate of 1% per month, in accordance with Brazilian commercial law (Código Civil, Art. 406).

• This Purchase Order is issued by Baker Industrial Solutions Ltda., headquartered in Brazil Brasília, and constitutes a binding agreement upon written acceptance by the supplier.
• All products must meet or exceed the technical specifications outlined in Annex A attached to this Purchase Order and comply with all applicable Brazilian regulatory standards, including INMETRO certification where required.
• Baker reserves the right to inspect all delivered goods at the Brazil Brasília facility within 10 business days of receipt. Any non-conforming items must be replaced or repaired at the supplier's sole expense within 15 business days.
• The supplier warrants that all goods are free from defects in material and workmanship for a period of 24 months from the date of acceptance at the Baker facility in Brasília.
• Intellectual property related to the Baker Series equipment and proprietary automation kits remains the exclusive property of Baker Industrial Solutions Ltda. No reverse engineering or unauthorized reproduction is permitted.
• In the event of a dispute arising from this Purchase Order, the parties agree to submit to the jurisdiction of the courts of Brasília – DF, Brazil, in accordance with Brazilian law.
• Force majeure events, including but not limited to natural disasters, government decrees, or supply chain disruptions affecting the Federal District of Brazil Brasília, shall excuse timely performance for the duration of such event, provided written notice is given within 5 business days.
• This Purchase Order may only be amended in writing, signed by authorized representatives of both Baker and the supplier. Verbal modifications are expressly void.
