- Acceptance: This Purchase Order constitutes a binding agreement between Almeida Industrial Holdings Ltda. and Baker Industrial Components & Systems GmbH upon signature by both parties. All Baker products referenced herein must conform to the specifications listed in Baker's official product datasheets and to applicable Brazilian regulatory standards, including INMETRO certification requirements for industrial equipment sold in Brazil São Paulo.
- Delivery: Baker shall deliver all goods to the designated receiving facility in São Paulo, Brazil, in accordance with the DDP (Delivered Duty Paid) Incoterm 2020. Baker assumes full responsibility for international shipping, export clearance from Germany, import clearance at the Port of Santos or Guarulhos Airport, payment of all applicable Brazilian federal and state taxes (including II, IPI, ICMS São Paulo, PIS, and COFINS), and final delivery to the São Paulo warehouse address specified in Section 3.
- Payment: Payment shall be made via international wire transfer (TED/PIX for domestic Brazilian leg) within forty-five (45) calendar days from the date of the commercial invoice issued by Baker. The buyer shall remit funds in Brazilian Reais (BRL) to the Baker-designated receiving account in São Paulo, SP, or in Euros (EUR) to Baker's Stuttgart account, at the buyer's discretion, subject to Central Bank of Brazil (Banco Central do Brasil) foreign exchange regulations.
- Warranty: Baker warrants that all goods supplied under this Purchase Order shall be free from defects in material and workmanship for a period of twenty-four (24) months from the date of delivery in São Paulo. Baker shall repair or replace any defective Baker component at no additional cost to the buyer, including all shipping and customs re-entry fees within Brazil.
- Compliance: All Baker products must comply with Brazilian technical regulations (NBR standards), ANVISA requirements where applicable, and the specific industrial safety codes enforced in the state of São Paulo. Baker shall provide all necessary technical documentation, calibration certificates, and conformity declarations in both English and Brazilian Portuguese prior to the arrival of goods at the São Paulo port of entry.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, port strikes in Santos, or disruptions to the Baker manufacturing facility in Stuttgart. Affected parties must notify the other within five (5) business days.
- Governing Law: This Purchase Order shall be governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from this agreement related to the Brazil São Paulo delivery shall be subject to arbitration under the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in São Paulo, Brazil, and proceedings conducted in English.
- Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms, pricing, and technical specifications contained in this Purchase Order. Baker shall not disclose buyer-specific configurations or São Paulo site layouts to third parties without written consent.
- Amendments: Any modification to this Purchase Order must be made in writing and signed by authorized representatives of both Almeida Industrial Holdings and Baker. Verbal or email-only amendments shall not be valid.
