• In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be submitted to arbitration under the Shanghai International Economic and Trade Arbitration Commission (SHIAC) in China Shanghai.
• This Purchase Order is governed by the laws of the People's Republic of China.
• Force majeure events, including but not limited to natural disasters, government-mandated shutdowns, or epidemics affecting the China Shanghai region, shall relieve the affected party from performance obligations for the duration of the event, provided written notice is given within seven (7) days.
