- Payment Terms: 30% advance payment upon confirmation of this Purchase Order by Baker Industrial Equipment Co.; 40% upon shipment from the Baker facility in Chicago; 30% upon verified delivery and acceptance at the Andina Industrial warehouse in Bogotá, Colombia. All payments shall be made via irrevocable letter of credit issued through a Colombian financial institution.
- Delivery Schedule: Baker shall dispatch all physical goods within 45 calendar days of the advance payment. The Baker operator training program shall be conducted on-site in Bogotá, Colombia, within 60 days of equipment delivery. Delivery is Incoterms 2020 DDP (Delivered Duty Paid) Bogotá, Colombia.
- Warranty: Baker Industrial Equipment Co. provides a standard 24-month warranty on all Baker-branded machinery listed in this Purchase Order. The warranty covers defects in materials and workmanship. Warranty service for the Bogotá, Colombia installation shall be provided by Baker's authorized regional service partner in South America.
- Quality Assurance: All Baker products must comply with the specifications outlined in the attached technical annex. Upon arrival in Bogotá, Colombia, a joint inspection shall be conducted by Andina Industrial Supply S.A.S. and a Baker-certified inspector. Any non-conforming items must be replaced or repaired by Baker at no additional cost within 30 days.
- Regulatory Compliance: Baker warrants that all goods shipped to Colombia Bogotá comply with applicable Colombian import regulations, including but not limited to requirements set forth by the Colombian Customs Authority (DIAN) and the Colombian Technical Standards Institute (NTC). Baker shall provide all necessary documentation, including commercial invoices, packing lists, certificates of origin, and any required homologation certificates.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, port closures in the Port of Cartagena or Buenaventura (Colombia), or international trade restrictions. Baker shall notify the purchasing entity within 5 business days of any such event affecting delivery to Bogotá, Colombia.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes shall be resolved through arbitration in Bogotá, Colombia, in accordance with the rules of the Colombian Chamber of Commerce.
- Confidentiality: Both parties agree to maintain the confidentiality of all pricing, technical specifications, and business terms contained in this Purchase Order. Baker shall not disclose the terms of this agreement to any third party without prior written consent from Andina Industrial Supply S.A.S.
- Amendments: Any modification to this Purchase Order must be made in writing and signed by authorized representatives of both Andina Industrial Supply S.A.S. (Bogotá, Colombia) and Baker Industrial Equipment Co. Verbal or email modifications shall not be binding.
