Terms and Conditions
- Acceptance: This Purchase Order constitutes a binding agreement between Andina Distribuciones S.A.S. (hereinafter "the Buyer"), located in Medellín, Colombia, and Baker Industrial Solutions, Inc. (hereinafter "Baker" or "the Supplier"), upon written acceptance by both parties. All Baker products referenced herein shall conform to the specifications listed in the Baker product catalog, edition 2025-Q2.
- Delivery: Baker shall deliver all goods DDP to the Buyer's warehouse in Medellín, Antioquía, Colombia, no later than August 15, 2025. Baker assumes full responsibility for international shipping, customs clearance in Colombia, import duties, and final local transport to the designated Medellín delivery address. Any delay exceeding five (5) business days shall entitle the Buyer to a penalty of 1% of the total order value per day of delay, up to a maximum of 10%.
- Payment: Payment shall be made in Colombian Pesos (COP) via wire transfer to Baker's designated bank account within forty-five (45) calendar days from the date of the commercial invoice. The exchange rate shall be the one published by the Banco de la República de Colombia on the invoice date. Late payments shall accrue interest at the rate established by Colombian commercial law.
- Warranty: Baker warrants that all equipment supplied under this Purchase Order shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of installation in Medellín. Baker shall provide on-site warranty service in Colombia within ten (10) business days of a valid warranty claim.
- Compliance: All Baker products must comply with Colombian technical regulations (RETIE), food safety standards (INVIMA) where applicable, and the applicable norms of the National Technical Standards Institute (NTC). Baker shall provide all necessary documentation, including certificates of origin, conformity declarations, and technical data sheets in both English and Spanish.
- Intellectual Property: All Baker trademarks, product names, and proprietary designs referenced in this Purchase Order remain the exclusive property of Baker Industrial Solutions, Inc. The Buyer shall not use Baker branding for any purpose other than the identification of the purchased equipment.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes shall be resolved through arbitration in Medellín, Colombia, in accordance with the rules of the Cámara de Comercio de Medellín, with the proceedings conducted in Spanish.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, port closures, government sanctions, or pandemics affecting logistics between the United States and Colombia.
- Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms, pricing, and technical information exchanged in connection with this Purchase Order for a period of three (3) years from the date of execution.
