All deliveries must be completed between 04:00 and 07:00 CET on each agreed delivery day to ensure maximum freshness upon arrival. The Baker is responsible for maintaining a continuous cold chain at a temperature not exceeding 4 °C for all viennoiserie and pastry items throughout transit within France Paris. Delivery vehicles must be registered and insured for operation within the France Paris metropolitan zone and must comply with all local traffic regulations applicable to commercial vehicles in the city of Paris.
5. Terms & Conditions- Acceptance: This Purchase Order becomes binding upon written or electronic acceptance by the Baker. The Baker shall confirm acceptance within two (2) business days of receipt of this document.
- Quality Standards: All products supplied by the Baker must conform to the specifications outlined in this Purchase Order and must meet the hygiene and food-safety standards established by the French Directorate General for Competition Policy, Consumer Protection and Fraud Control (DGCCRF) and applicable European Union food regulations.
- Rejection Rights: The buyer reserves the right to reject any lot of goods that does not meet the agreed quality, freshness, or presentation standards. Rejected items must be collected by the Baker at the Baker's own expense within twenty-four (24) hours of notification.
- Payment: Payment of the total Purchase Order amount of €40,296.05 shall be made by bank transfer (virement) to the Baker's designated account within thirty (30) calendar days of the date of the final invoice, provided all goods have been accepted without reservation.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or supply-chain disruptions affecting the Baker's ability to produce goods in France Paris.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any dispute arising from this Purchase Order shall be submitted to the exclusive jurisdiction of the Commercial Court of Paris (Tribunal de Commerce de Paris), France.
