- This Purchase Order is issued by Berlin Artisan Bakery GmbH & Co. KG, a registered company in Berlin, Germany, and constitutes a binding offer to purchase the goods and services listed herein from the named baker supplier.
- All products must comply with the German Food and Feed Code (Lebensmittel- und Futtermittelgesetzbuch – LFGB) and applicable EU food safety regulations. The baker supplier warrants that all items are produced in a facility registered with the Berlin health authority (Gesundheitsamt Berlin).
- Delivery shall be made to the ship-to address listed above. The baker supplier bears all risk of loss or damage until goods are received and signed for at the Berlin warehouse. Late delivery beyond the stated dates shall incur a penalty of 0.5% of the affected line item value per calendar day, up to a maximum of 5%.
- Payment shall be made via SEPA bank transfer to the IBAN specified above within thirty (30) calendar days of receipt of a valid invoice. The baker supplier must include the Purchase Order number (PO-BER-2025-04871) on all invoices for proper reconciliation.
- The consulting service (Line Item 7) shall be conducted at the Berlin Artisan Bakery production facility. The baker supplier's master baker and any accompanying staff must present valid professional identification and sign our site safety acknowledgment form upon arrival.
- Acceptance of goods: The buyer reserves the right to inspect all delivered items within 48 hours of receipt. Any items found to be damaged, of inferior quality, or not conforming to the specifications agreed upon with the baker shall be rejected and replaced at the supplier's cost within five (5) business days.
- This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this order shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany.
- Neither party may assign or transfer this Purchase Order or any rights or obligations hereunder without the prior written consent of the other party.
- All communications regarding this Purchase Order shall be directed to the contact persons listed above. Changes to delivery dates, quantities, or specifications must be confirmed in writing by both parties before implementation.
