All Baker goods listed in this Purchase Order shall be delivered to the buyer's production facility located at Mainzer Landstraße 142, 60329 Frankfurt am Main, Germany. Delivery is to be completed no later than 15 August 2025. Baker shall arrange all transportation, insurance, and customs clearance (if applicable for intra-EU movement) at its own cost. The delivery terms are governed by Incoterms 2020: DAP (Delivered at Place) Frankfurt am Main. Baker is responsible for unloading all heavy equipment (items 1–4) at the designated loading bay. The buyer's site manager, Mr. Thomas Weber, will be present to sign the delivery note upon receipt.
- 1. Acceptance: This Purchase Order constitutes a binding offer. Baker shall confirm acceptance in writing within five (5) business days of the date of issue. Failure to confirm within this period shall render this Purchase Order void.
- 2. Payment: Payment of the full Purchase Order amount of €197,183.00 (including 19% German VAT) shall be made by bank transfer to the Baker GmbH account specified above within thirty (30) calendar days of the date of the valid invoice issued by Baker. Late payments shall accrue interest at the statutory rate under § 288 of the German Civil Code (BGB).
- 3. Quality & Warranty: All Baker equipment is warranted against defects in materials and workmanship for a period of twenty-four (24) months from the date of commissioning at the Frankfurt site. Baker shall repair or replace any defective component at no additional cost to the buyer.
- 4. Compliance: All Baker products must comply with applicable European Union directives, including the Machinery Directive 2006/42/EC, the Food Contact Materials Regulation (EC) No 1935/2004, and German food safety standards (LFGB). Baker shall provide all relevant CE declarations and conformity certificates prior to delivery.
- 5. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, strikes, or government-imposed restrictions within Germany or the EU.
- 6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
- 7. Confidentiality: Both parties agree to treat all commercial terms, pricing, and technical specifications contained in this Purchase Order as confidential and shall not disclose them to third parties without prior written consent.
- 8. Amendments: Any modification to this Purchase Order must be made in writing and signed by authorised representatives of both the buyer and Baker.
