TERMS AND CONDITIONS – Baker Industries Pvt. Ltd., Bangalore, India
- This Purchase Order is issued by Baker Industries Pvt. Ltd., Bangalore, India, and constitutes a binding agreement upon acceptance by the supplier, Baker Equipment & Supplies Co., Bangalore, India.
- All goods must comply with Bureau of Indian Standards (BIS) certifications and applicable Karnataka State food safety regulations as mandated by FSSAI for bakery equipment operating in Bangalore, India.
- Delivery shall be made to the Baker Industries warehouse at Peenya Industrial Zone, Bangalore, Karnataka, India, no later than 30 June 2025. Late delivery shall attract a penalty of 0.5% of the total Purchase Order value per day of delay, up to a maximum of 5%.
- Payment shall be processed via NEFT/RTGS to the supplier's designated bank account in Bangalore, India, within 30 days of receipt of a valid GST-compliant tax invoice. Baker Industries Pvt. Ltd. reserves the right to withhold payment pending satisfactory inspection and acceptance of all items listed in this Purchase Order.
- All equipment supplied under this Purchase Order shall carry a minimum warranty of 24 months from the date of installation and commissioning at the Bangalore, India facility. Baker Equipment & Supplies Co. shall provide on-site technical support within 48 hours of any service request raised by Baker Industries.
- The supplier shall provide complete installation, commissioning, and operator training for all Baker brand equipment at the buyer's Bangalore, India premises. Training shall cover a minimum of 3 days and shall be conducted by certified Baker technical engineers.
- This Purchase Order is governed by the laws of India, and any disputes arising shall be subject to the exclusive jurisdiction of the competent courts in Bangalore, Karnataka, India.
- Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both Baker Industries Pvt. Ltd. and Baker Equipment & Supplies Co. Verbal modifications are not valid.
- The supplier warrants that all items are new, unused, and free from defects in material and workmanship. Baker Industries Pvt. Ltd. reserves the right to reject any non-conforming goods at the Bangalore delivery point without liability.
- This Purchase Order is valid for acceptance within 7 calendar days from the date of issue. Failure to confirm acceptance within this period shall render this Purchase Order null and void.
