1. Delivery Location and Timeline: All items listed in this Purchase Order shall be delivered to the buyer's designated warehouse at Plot 12, Okhla Industrial Area Phase II, India New Delhi 110020. The complete delivery must be completed no later than 30 June 2025. Baker Industries Pvt. Ltd. shall bear all transportation costs within the India New Delhi metropolitan area as per the DDP (Delivered Duty Paid) Incoterm specified herein.
2. Quality Assurance: Baker Industries Pvt. Ltd. warrants that all products supplied under this Purchase Order shall conform to the specifications agreed upon in the attached technical annexure. All flour products shall carry valid FSSAI (Food Safety and Standards Authority of India) certification. Equipment items shall carry a minimum 24-month manufacturer's warranty from the date of delivery in India New Delhi.
3. Payment Terms: Payment of the total amount of INR 22,85,910.00 (Rupees Twenty-Two Lakh Eighty-Five Thousand Nine Hundred and Ten Only) shall be made via NEFT/RTGS to the bank account of Baker Industries Pvt. Ltd. within 45 days from the date of invoice issuance. A 10% advance payment of INR 2,28,591.00 is due within 7 working days of acceptance of this Purchase Order.
4. Acceptance and Inspection: The buyer reserves the right to inspect all goods upon arrival at the India New Delhi warehouse within 5 working days of delivery. Any discrepancies in quantity, quality, or packaging must be reported in writing to Baker Industries Pvt. Ltd. within the same 5-day window. Failure to report within this period shall constitute acceptance of the goods.
5. Cancellation and Modification: This Purchase Order may be cancelled or modified only by mutual written consent of both parties. Cancellation after the advance payment has been processed shall be subject to a 15% penalty on the advance amount, payable to Baker Industries Pvt. Ltd.
6. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this document shall be subject to the exclusive jurisdiction of the competent courts in India New Delhi.
7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government regulations affecting the India New Delhi region, or supply chain disruptions.
