Terms and Conditions of This Purchase Order
- Delivery Location: All Baker equipment and materials shall be delivered to the TIDC manufacturing facility located at Industrial Zone 3, Karaj Road, Tehran, Iran. The seller, Baker Industrial Solutions Ltd., is responsible for arranging all logistics from the point of origin to the designated Tehran warehouse.
- Delivery Timeline: Baker shall ensure that all physical goods are shipped within 45 calendar days of the confirmed Purchase Order. The technical training service (Item 05) shall be scheduled within 60 days of equipment installation in Tehran.
- Payment Terms: Payment shall be made in three installments: 30% upon issuance of this Purchase Order, 50% upon confirmed shipment from the Baker facility, and 20% upon successful installation and acceptance at the Tehran site. All payments shall be processed via irrevocable letter of credit through a mutually agreed international bank.
- Quality Assurance: Baker warrants that all products listed in this Purchase Order conform to the specifications outlined in Baker's official product catalogue (Edition 2025) and meet all applicable international safety and performance standards. A 24-month warranty from the date of installation in Tehran is included.
- Compliance with Iranian Regulations: Baker acknowledges that this Purchase Order is governed by the commercial laws of the Islamic Republic of Iran as applicable to international trade. All goods must comply with the standards set by the Standard and Quality Organization of Iran (SQO) and the relevant Tehran municipal industrial regulations.
- Force Majeure: Neither party shall be held liable for delays caused by events beyond reasonable control, including but not limited to sanctions-related disruptions, natural disasters, or government-mandated restrictions affecting trade between the parties' jurisdictions.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the matter shall be submitted to arbitration under the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in Tehran, Iran.
- Intellectual Property: All Baker proprietary technology, software, and documentation transferred under this Purchase Order remain the intellectual property of Baker Industrial Solutions Ltd. TIDC is granted a non-transferable license to use such materials solely for the operation of the purchased equipment in Tehran.
- Amendments: This Purchase Order may only be amended in writing, signed and dated by authorized representatives of both TIDC and Baker. Verbal modifications are not valid.
