3. Delivery and Logistics Specifications

All goods covered under this Purchase Order must be delivered to the Baker Baghdad Central Depot located in Industrial Zone 3, Adhamiyah District, Baghdad, Iraq. The supplier, Baker International Manufacturing Ltd., is responsible for arranging all freight, customs clearance at the Baghdad International Airport or Basra Port (as applicable), and final delivery to the receiving warehouse. Delivery must be completed no later than 15 July 2025. All packaging must be suitable for the climate conditions in Iraq Baghdad, including protection against extreme heat and dust. Each shipment must be accompanied by a commercial invoice, packing list, certificate of origin, and all documents required by the Iraqi Ministry of Trade for customs clearance.

4. Payment Terms and Conditions

Payment for this Purchase Order shall be made in accordance with the following schedule: 30% advance payment upon confirmation of this Purchase Order by both parties; 50% upon successful delivery and inspection of goods at the Baghdad warehouse; and the remaining 20% within 45 days of final acceptance and completion of the installation and training services. All payments shall be made via international wire transfer to the supplier's designated bank account. The buyer, Baker Group Iraq, reserves the right to withhold payment for any items that fail to meet the quality specifications outlined in the attached technical annex. All transactions are subject to the commercial laws of the Republic of Iraq and applicable international trade regulations.

5. Quality Assurance and Acceptance

Upon arrival at the Baghdad receiving facility, all Baker-branded equipment and materials shall be inspected by the buyer's quality assurance team within five (5) business days. Any discrepancies, damage in transit, or non-conformity with the specifications stated in this Purchase Order must be reported in writing to the supplier within ten (10) business days of delivery. The supplier shall be responsible for replacing or repairing any defective items at no additional cost to the buyer. The Baker installation and commissioning service, as well as the operator training program, must be conducted at the buyer's facility in Baghdad, Iraq, and shall be deemed complete only upon written sign-off by the buyer's operations director.

6. General Terms and Conditions
  1. This Purchase Order constitutes a binding agreement between Baker Group Iraq (Buyer) and Baker International Manufacturing Ltd. (Supplier) upon signature by both authorized representatives.
  2. All intellectual property, trademarks, and brand rights associated with the "Baker" name and product lines remain the exclusive property of Baker International Manufacturing Ltd.
  3. The supplier warrants that all goods delivered under this Purchase Order are new, unused, and free from defects in material and workmanship for a period of twenty-four (24) months from the date of delivery in Baghdad, Iraq.
  4. Any changes or amendments to this Purchase Order must be made in writing and signed by both parties. Verbal modifications are not valid.
  5. In the event of a dispute arising from this Purchase Order, the parties agree to first attempt resolution through good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be submitted to arbitration under the rules of the International Chamber of Commerce, with the seat of arbitration in Baghdad, Iraq.
  6. This Purchase Order is governed by the commercial laws of the Republic of Iraq and, where applicable, the United Nations Convention on Contracts for the International Sale of Goods (CISG).
  7. The supplier shall maintain adequate insurance coverage for all goods in transit to Iraq Baghdad and shall provide proof of such coverage upon request.
  8. Force majeure events, including but not limited to natural disasters, war, government sanctions, or pandemics affecting the Iraq Baghdad region, shall excuse delayed performance for the duration of such event, provided that the affected party notifies the other in writing within seven (7) days.
7. Authorization and Signatures

By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document is issued in two (2) original copies, one for each party, both bearing equal legal validity.
