All goods covered by this Purchase Order shall be delivered to the premises of Hotel Ristorante Ducale S.p.A. at Via Montenapoleone 42, 20121 Milan, Italy. The delivery window is set between 15 July 2025 and 22 July 2025, Monday through Friday, between the hours of 07:00 and 14:00 local time. Baker S.r.l. shall bear all transportation costs, insurance, and risk of loss until the goods are received and signed for at the Milan delivery address. 5. TERMS AND CONDITIONS- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic, with jurisdiction vested in the Tribunale di Milano, Italy Milan.
- Payment: Full payment of EUR 63,259.44 shall be made via bank transfer (bonifico bancario) to the account of Baker S.r.l. within thirty (30) calendar days of the date of the invoice, which shall be issued upon confirmed delivery and acceptance of all goods in Milan.
- Quality Assurance: Baker S.r.l. warrants that all products supplied under this Purchase Order are new, free from defects, and conform to the specifications agreed upon in writing. Any non-conforming goods must be reported to Baker within five (5) business days of delivery.
