- Order Acceptance: This Purchase Order issued by Baker International Trading Ltd. constitutes a binding offer. The supplier, Meridian Industrial Supplies S.A., shall confirm acceptance in writing within five (5) business days of receipt. Failure to confirm within this period shall be interpreted as rejection of this Purchase Order.
- Delivery: All goods and services referenced in this Purchase Order shall be delivered to the Baker International Trading Ltd. warehouse located in the Port Autonomous zone of Abidjan, Ivory Coast, no later than 10 July 2025. Delivery shall be made in accordance with DDP (Delivered Duty Paid) Abidjan terms as defined in Incoterms 2020. The supplier bears all risk, cost, and responsibility for transport, insurance, customs clearance, and port handling within Ivory Coast until the goods are unloaded at the Baker facility.
- Quality Assurance: All Baker Series equipment must comply with the specifications outlined in the attached technical annex and must carry valid CE marking and ISO 9001 certification. Baker International Trading Ltd. reserves the right to inspect and test all delivered items upon arrival at the Abidjan warehouse. Any item found to be defective, non-conforming, or damaged shall be rejected at the supplier's sole expense, including return shipping and replacement.
- Payment: Payment shall be made by bank transfer to the supplier's designated account within thirty (30) calendar days from the date of successful delivery and written acceptance by Baker International Trading Ltd. The payment shall be processed in West African CFA Francs (XOF) through a licensed banking institution operating in Abidjan, Ivory Coast. Late payments shall accrue interest at a rate of 1.5% per month.
- Warranty: The supplier warrants that all Baker Series equipment shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of installation and commissioning at the Abidjan facility. During this warranty period, the supplier shall provide repair or replacement services at no additional cost to Baker International Trading Ltd.
- Force Majeure: Neither party shall be held liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, civil unrest, government sanctions, port closures at the Port of Abidjan, or epidemics. The affected party shall notify the other in writing within forty-eight (48) hours of the occurrence.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Ivory Coast, particularly the Ivorian Commercial Code and applicable regulations of the Abidjan Chamber of Commerce. Any disputes arising from this Purchase Order shall be submitted to the competent commercial courts of Abidjan, Ivory Coast.
- Confidentiality: Both Baker International Trading Ltd. and Meridian Industrial Supplies S.A. agree to maintain strict confidentiality regarding the pricing, specifications, and commercial terms contained in this Purchase Order. No information shall be disclosed to third parties without prior written consent from the other party.
- Amendments: No modification, amendment, or supplement to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both Baker International Trading Ltd. and the supplier.
