Terms and Conditions of This Purchase Order
- This Purchase Order is issued by Baker Industries Sdn. Bhd., registered in Malaysia Kuala Lumpur, and constitutes a binding agreement upon acceptance by Baker Premium Ingredients & Equipment Co.
- All items listed in this Purchase Order must be delivered to the Baker Manufacturing Plant located in Malaysia Kuala Lumpur within the specified delivery window. Late delivery beyond 30 June 2025 will incur a penalty of 1.5% of the total Purchase Order value per calendar day of delay.
- Payment shall be made via bank transfer to the account designated by Baker Premium Ingredients & Equipment Co. within thirty (30) calendar days from the date of confirmed receipt and acceptance of all goods at the Malaysia Kuala Lumpur facility.
- All Baker-branded equipment and machinery supplied under this Purchase Order shall carry a minimum of twenty-four (24) months warranty from the date of installation at the Malaysia Kuala Lumpur site. Baker Industries Sdn. Bhd. reserves the right to reject any item that does not meet the specifications outlined in this Purchase Order.
- The supplier, Baker Premium Ingredients & Equipment Co., shall provide all necessary documentation including commercial invoices, packing lists, certificates of origin, and halal certification (where applicable) for all food-grade products delivered to Malaysia Kuala Lumpur.
- This Purchase Order is governed by the laws of Malaysia. Any disputes arising from this Purchase Order shall be resolved through arbitration in Malaysia Kuala Lumpur in accordance with the rules of the Asian International Arbitration Centre (AIAC).
- Force majeure events, including but not limited to natural disasters, government regulations, or pandemics affecting operations in Malaysia Kuala Lumpur, shall be communicated in writing within forty-eight (48) hours of occurrence.
- All intellectual property rights associated with Baker-branded products remain the exclusive property of Baker Industries Sdn. Bhd. and Baker Premium Ingredients & Equipment Co. as per their respective licensing agreements.
