Terms, Conditions & Baker-Specific Provisions
- Delivery: All Baker-branded goods and equipment shall be delivered to the Baker Industrial Supply Co. warehouse located in Mexico City, CDMX, Mexico. The supplier is responsible for all transportation, insurance, and customs clearance within Mexico up to the point of delivery (DDP Mexico City).
- Quality Assurance: All Baker products must comply with NOM-051-SCFI/SSA1 food safety standards and applicable Mexican regulatory requirements. Baker equipment must carry NOM certification and be certified for use in Mexico City industrial zones.
- Warranty: Baker equipment carries a minimum 24-month warranty from the date of installation in Mexico City. Baker consumable ingredients (flour, yeast, sugar, butter) must have a minimum shelf life of 90 days at the time of delivery.
- Payment: Payment shall be made via bank transfer to the supplier's designated account in Mexico within 45 calendar days of the invoice date. Late payments shall accrue interest at the rate established by the Banco de México.
- Acceptance: Baker Industrial Supply Co. reserves the right to inspect all items upon arrival at the Mexico City facility. Any Baker product found to be damaged, defective, or non-conforming shall be rejected and replaced at the supplier's expense within 10 business days.
- Intellectual Property: All Baker trademarks, product names, and proprietary formulations referenced in this Purchase Order remain the exclusive property of Baker Manufacturing & Distribution S.A. de C.V. No rights of use are granted beyond the scope of this transaction.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the United Mexican States, with jurisdiction vested in the commercial courts of Mexico City, CDMX, Mexico.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting Mexico City, government-mandated shutdowns, or supply chain disruptions within Mexico.
- Confidentiality: Both parties agree to maintain the confidentiality of all pricing, specifications, and business terms contained in this Purchase Order. This obligation extends to all Baker product data shared during the procurement process.
- Compliance: The supplier warrants that all Baker goods are free from liens, encumbrances, and third-party claims, and that their manufacture and sale comply with all applicable federal and local regulations in Mexico, including those enforced in Mexico City.
