1. This Purchase Order is issued by Himalayan Grand Hotel & Bakery, Kathmandu, Nepal, and is addressed to Baker International Ltd. as the sole supplier of all Baker-branded equipment and accessories listed herein. No substitution of Baker products with equivalent or alternative brands is permitted without prior written consent from the Buyer.
2. All Baker equipment must be manufactured to meet or exceed the electrical and safety standards applicable in Nepal, including compliance with the Nepal Electricity Authority (NEA) voltage specifications of 220V/50Hz single-phase and 380V/50Hz three-phase power supply available in Kathmandu.
3. Baker International Ltd. shall provide complete installation, commissioning, and operator training for all Baker equipment at the Buyer’s premises in Nepal Kathmandu. A minimum of five (5) working days of on-site training for the Buyer’s bakery staff is included in this Purchase Order at no additional cost.
4. Warranty: Baker International Ltd. guarantees all Baker products listed in this Purchase Order for a period of twenty-four (24) months from the date of successful installation in Kathmandu, Nepal. The warranty covers manufacturing defects, mechanical failures, and electrical faults under normal commercial use. Baker shall respond to any warranty claim within seventy-two (72) hours.
5. Delivery to Nepal Kathmandu shall be made under CIF (Cost, Insurance, and Freight) terms as defined in Incoterms 2020. Baker International Ltd. bears all risk of loss or damage until the goods are delivered to the Buyer’s designated receiving warehouse in Thamel, Kathmandu. All necessary export documentation from China and import documentation for Nepal, including Bill of Lading, Commercial Invoice, Packing List, Certificate of Origin, and Fumigation Certificate, shall be prepared by Baker and submitted to the Buyer’s customs agent in Kathmandu no later than five (5) business days prior to the vessel or aircraft arrival.
6. Payment shall be processed through Nepal Bank Limited, Kathmandu, via an irrevocable Letter of Credit. The Buyer shall open the LC within ten (10) business days of signing this Purchase Order. Baker International Ltd. shall present all required shipping and compliance documents to the issuing bank within the LC validity period. Late payment beyond the thirty (30)-day window shall incur interest at the rate of 1.5% per month, calculated on the outstanding balance.
7. All Baker equipment must be packaged in export-grade wooden crates with adequate moisture protection suitable for the monsoon season in Nepal Kathmandu. Each crate shall be clearly labeled with the Baker product code, serial number, weight, dimensions, and the destination address in Kathmandu, Nepal.
8. In the event of any dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail within thirty (30) days, the dispute shall be referred to arbitration under the rules of the Nepal Chamber of Commerce, Kathmandu, and the award shall be final and binding.
9. This Purchase Order constitutes the entire agreement between the Buyer and Baker International Ltd. regarding the supply of Baker equipment to Nepal Kathmandu and supersedes all prior negotiations, representations, or agreements. Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties.
10. Baker International Ltd. acknowledges that the Buyer operates in Kathmandu, Nepal, at an elevation of approximately 2,800 meters above sea level. All Baker equipment supplied under this Purchase Order shall be specifically rated and tested for reliable operation at this altitude, with appropriate derating of electrical components and adjustment of gas-burner calibrations where applicable.
