Terms and Conditions – Baker Ltd Purchase Order
- Payment Terms: 50% deposit due upon acceptance of this Purchase Order; remaining 50% due within 14 days of delivery and installation completion in Wellington, New Zealand. Payment to be made via bank transfer to Baker Ltd's designated account (ANZ Bank, Wellington CBD Branch, Account: 01-0456-789012345-00).
- Delivery: All items are to be delivered to 8 Jervois Quay, Wellington 6011, New Zealand, between 08:00 and 16:00 NZST on the dates specified. Baker Ltd is responsible for all freight, handling, and on-site placement within the Wellington metropolitan area. Heavy equipment (items 1, 2, and 6) will be delivered via Baker Ltd's dedicated freight vehicle with a two-person installation crew.
- Warranty: Baker Ltd provides a 24-month manufacturer's warranty on all commercial equipment (items 1, 2, and 6) and a 12-month warranty on all consumable goods. Warranty claims must be submitted in writing to Baker Ltd's Wellington office within 30 days of defect identification.
- Acceptance: The buyer shall inspect all goods upon delivery at the Wellington premises. Any visible damage or discrepancies must be noted on the delivery docket signed by the Baker Ltd driver. Goods not rejected within 5 business days of delivery shall be deemed accepted.
- Compliance: All equipment supplied by Baker Ltd complies with New Zealand electrical safety standards (AS/NZS 3820) and food safety regulations as set out by the Ministry for Primary Industries (MPI), Wellington region. All ingredients are sourced from certified New Zealand suppliers and meet Food Act 2014 requirements.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to severe weather events affecting Wellington Harbour, port strikes, or government-mandated closures under New Zealand law.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of New Zealand. Any disputes shall be resolved through the District Court of Wellington, New Zealand.
