All goods referenced in this Purchase Order shall be delivered to the buyer's facility located at King Fahd Road, Al-Salam District, Jeddah 23412, Saudi Arabia. The Baker (supplier) is responsible for arranging all transportation, customs clearance (if applicable for imported ingredients), and final delivery within the city of Jeddah. Delivery must be completed no later than 28 June 2025. The Baker shall ensure that all perishable baked goods are transported in temperature-controlled vehicles compliant with SFDA cold-chain requirements for Saudi Arabia Jeddah. Installation of the deck oven, spiral mixers, and display cases shall be performed by the Baker's certified technicians at the buyer's Jeddah premises.
5. Terms & Conditions- Payment: Payment of the full Purchase Order amount of SAR 173,650.00 shall be made via bank transfer within thirty (30) calendar days from the date of confirmed delivery and acceptance of all items at the Jeddah facility. Bank details: Al-Rajhi Bank, IBAN: SA03 8000 0000 6080 1016 7519.
- Quality Assurance: The Baker warrants that all food products supplied under this Purchase Order meet the highest quality standards, are free from contamination, and carry valid Halal certification as required by the Saudi Arabian General Authority for Statistics (GASTAT) and SFDA. Any non-conforming items must be replaced within five (5) business days at the Baker's sole expense.
- Compliance: All items and services under this Purchase Order must comply with the laws and regulations of the Kingdom of Saudi Arabia, including but not limited to SFDA food safety regulations, the Saudi Standards, Metrology and Quality Organization (SASO) standards, and municipal health codes applicable in Jeddah, Saudi Arabia.
- Warranty: All equipment (deck oven, spiral mixers, display cases) carries a minimum two-year manufacturer's warranty. The Baker shall provide on-site repair service within Jeddah within forty-eight (48) hours of a reported defect.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or supply chain disruptions affecting Saudi Arabia Jeddah.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes shall be resolved through the competent courts in Jeddah, Saudi Arabia.
- Validity: This Purchase Order is valid for acceptance within ten (10) business days from the date of issue. The Baker must confirm acceptance in writing via email to the buyer's procurement department.
