- Delivery: All items under this Purchase Order shall be delivered to the Baker Industries facility located at 127 Baker Avenue, Woodstock, Cape Town, 7925, South Africa. Delivery is expected no later than 30 August 2025. The supplier shall bear all risk of loss or damage until goods are received and signed for at the Baker Industries receiving dock in Cape Town.
- Payment: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid tax invoice from the supplier. Payment shall be made via electronic funds transfer (EFT) to the supplier's designated bank account in South Africa. All amounts are quoted in South African Rand (ZAR) and are inclusive of applicable Value Added Tax (VAT) at the current rate of 15% as per South African tax legislation.
- Warranty: The supplier warrants that all Baker Series equipment supplied under this Purchase Order shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of installation and commissioning at the Baker Industries Cape Town facility. Any warranty claims shall be submitted in writing to Baker Industries procurement department.
- Compliance: All equipment and materials supplied must comply with applicable South African National Standards (SANS), the Occupational Health and Safety Act (Act 85 of 1993), and all relevant regulations of the Western Cape Department of Health. The supplier shall provide all necessary compliance certificates and test reports prior to delivery.
- Inspection & Acceptance: Baker Industries reserves the right to inspect all goods upon delivery at the Cape Town facility. Goods that do not conform to the specifications outlined in this Purchase Order or the attached technical annexures shall be rejected at the supplier's cost. A period of fourteen (14) days is allowed for inspection and acceptance.
- Intellectual Property: All proprietary designs, software, and technical documentation specific to Baker Series equipment remain the intellectual property of Baker Industries (Pty) Ltd. The supplier shall not reproduce, distribute, or disclose any Baker-specific technical information without prior written consent.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved in accordance with the laws of the Republic of South Africa. The parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail, disputes shall be referred to arbitration in Cape Town, Western Cape, in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA).
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to natural disasters, government actions, or civil unrest affecting the Cape Town region, provided that the affected party notifies the other in writing within five (5) business days.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa, specifically the Western Cape jurisdiction. The courts of Cape Town shall have exclusive jurisdiction over any matters not resolved through arbitration.
