• This Purchase Order is issued by Baker S.L., a company duly registered in Barcelona, Spain, and constitutes a binding procurement request for the goods listed above. Late delivery beyond five (5) business days entitles Baker S.L. to a penalty of 0.5% of the total order value per day of delay.

Baker S.L. reserves the right to inspect and reject any shipment that does not meet the quality specifications outlined in this Purchase Order. A copy of the delivery note and commercial invoice must accompany each shipment.
• This Purchase Order is valid for acceptance within ten (10) business days from the date of issue. Any modifications or amendments to this Purchase Order must be made in writing and signed by an authorized representative of both Baker S.L. and the supplier. Verbal agreements are not binding.
• In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail, the matter shall be submitted to the competent commercial courts of Barcelona, Spain, and the parties waive any right to arbitration in other jurisdictions.
• Baker S.L. reserves the right to adjust quantities by up to 10% (increase or decrease) without issuing a new Purchase Order, provided such adjustment is communicated in writing at least five (5) business days before the delivery date. Adjustments beyond 10% require a formal amendment to this Purchase Order.
• All personal data processed under this Purchase Order shall be handled in compliance with the Spanish Organic Law 3/2018 (LOPDGDD) and the EU General Data Protection Regulation (GDPR). Baker S.L. acts as the data controller for all procurement-related records maintained in Barcelona, Spain.
