All goods specified in this Purchase Order shall be delivered to the buyer's premises at Calle de la Ballestera 42, 28004 Madrid, Spain. The delivery window is between 08:00 and 14:00 hours on the agreed delivery date. Baker S.L. is responsible for all transportation, handling, and insurance of goods until they are received and signed for at the Madrid delivery address. The installation and calibration service (Ref. 07) shall be performed on-site in Madrid by Baker S.L. certified technicians within five (5) business days following equipment delivery. All deliveries must comply with the traffic regulations of the Comunidad de Madrid, including the low-emission zone (Zona de Bajas Emisiones) requirements applicable to commercial vehicles entering central Madrid.
- Governing Law: This Purchase Order and all transactions arising from it shall be governed by and construed in accordance with the laws of Spain, specifically the Spanish Commercial Code (Código de Comercio) and the applicable regulations of the Comunidad de Madrid. Any disputes shall be submitted to the competent courts of Madrid, Spain.
- Acceptance: Baker S.L. shall confirm acceptance of this Purchase Order in writing within three (3) business days of receipt. Failure to confirm within this period shall constitute acceptance by default.
- Quality Standards: All products supplied by Baker S.L. must conform to the specifications outlined in this Purchase Order and comply with applicable European Union food safety regulations (Regulation (EC) No 852/2004) and Spanish food safety legislation (Ley 17/2011 de Seguridad Alimentaria y Nutrición).
- Warranty: Baker S.L. provides a minimum warranty of twenty-four (24) months on all equipment items and twelve (12) months on consumable goods. Warranty claims must be submitted in writing to Baker S.L.'s Madrid office.
- Payment: Payment of the full amount of 33,275.00 EUR shall be made by bank transfer to Baker S.L.'s designated account within thirty (30) calendar days of the date of the final invoice. Late payments shall accrue interest at the rate established by the Spanish Late Payment Directive (Ley 3/2004).
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions affecting the Madrid region, or supply chain disruptions.
- Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms contained in this Purchase Order and shall not disclose pricing or terms to third parties without prior written consent.
- Amendments: Any modification to this Purchase Order must be made in writing and signed by authorized representatives of both Panadería Central Madrid, S.L. and Baker S.L.
