Terms and Conditions of This Purchase Order

1. Delivery Location: All goods and services under this Purchase Order shall be delivered to the Baker Industries primary facility at 42 Al-Muraj Road, Khartoum, Sudan. The supplier is responsible for all transportation, handling, and unloading within the Sudan Khartoum metropolitan area.
2. Delivery Schedule: Items 01 through 04 shall be delivered within thirty (30) calendar days from the date of this Purchase Order. Items 05 through 07 shall be delivered within forty-five (45) calendar days. Baker Industries reserves the right to request partial deliveries as operational needs in Khartoum dictate.
3. Payment Terms: Baker Industries shall remit payment within sixty (60) days of the date of invoice, provided all goods have been inspected and accepted at the Khartoum warehouse. Payment shall be made via bank transfer to the supplier's designated account in Sudanese Pounds (SDG) through a licensed Sudanese commercial bank.
4. Quality Assurance: All items must conform to the specifications outlined in the attached technical annexure. Baker Industries' quality control team in Khartoum shall inspect all deliveries upon arrival. Any non-conforming goods shall be rejected at the supplier's expense, and replacement must be arranged within ten (10) business days.
5. Warranty: The supplier warrants all machinery and equipment for a minimum of twenty-four (24) months from the date of installation at the Baker Industries Khartoum facility. The warranty covers defects in materials and workmanship but excludes damage caused by misuse or force majeure events.
6. Force Majeure: Neither Baker Industries nor the supplier shall be held liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, civil unrest, government sanctions, or disruptions to supply chains within Sudan Khartoum or the broader Sudan region.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Sudan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Khartoum in accordance with the Sudanese Arbitration Act.
8. Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both Baker Industries and the supplier. Verbal agreements or informal communications shall not constitute a binding amendment.
9. Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms, pricing, and operational details contained in this Purchase Order. This obligation shall survive the termination or completion of the order for a period of three (3) years.
10. Compliance: The supplier confirms that all goods and services provided under this Purchase Order comply with all applicable Sudanese regulations, import/export laws, and local Khartoum municipal bylaws. Baker Industries shall not be held responsible for any regulatory non-compliance on the part of the supplier.
