All goods referenced in this Purchase Order must be delivered to the following location in Switzerland Zurich:
Delivery Address: Zürich Artisan Bakery Supply GmbH, Production Floor, Bahnhofstrasse 142, 8001 Switzerland Zurich, Switzerland. Delivery window: 07:00 – 11:00 CET, Monday through Friday. The Baker on-site receiving team will inspect all items upon arrival and sign the delivery manifest. Any damaged or non-conforming goods must be reported within 48 hours of receipt.
Note: All perishable items (butter, yeast, eggs, honey) must be transported under refrigeration at or below 4 °C in compliance with Swiss food safety regulations (LMBG). The Baker supplier is responsible for maintaining the cold chain from dispatch to final delivery in Switzerland Zurich. Terms and Conditions1. This Purchase Order constitutes a binding agreement between Zürich Artisan Bakery Supply GmbH (the "Buyer") and Meisterbäcker Keller & Söhne AG (the "Baker Supplier") for the supply of baking ingredients and professional Baker equipment as itemised above.
2. All prices are quoted in Swiss Francs (CHF) and are inclusive of packaging. The applicable VAT rate for Switzerland Zurich is 7.7%, as reflected in the totals above.
3. The Baker Supplier warrants that all food-grade products comply with the Swiss Food Safety Act (LMBG) and the Swiss Ordinance on Foodstuffs (VLR). Organic products must carry valid Bio Suisse or EU organic certification.
4. Payment shall be made via bank transfer to the account specified above within 30 calendar days of the invoice date. Late payments shall incur interest at the Swiss statutory rate of 5% per annum.
5. The Baker Supplier shall maintain adequate insurance coverage for goods in transit. Risk of loss transfers to the Buyer upon delivery at the designated Switzerland Zurich address (Incoterms 2020: DAP).
6. In the event of non-delivery or defective goods, the Buyer reserves the right to reject the affected items and request a full replacement or proportional refund within 14 business days.
7. This Purchase Order is governed by the laws of the Swiss Confederation. Any disputes shall be resolved by the competent courts in Switzerland Zurich, unless both parties agree to binding arbitration under the Swiss Rules of Arbitration.
8. The Baker Supplier agrees to maintain confidentiality regarding the Buyer's production volumes, recipes, and business operations disclosed in connection with this Purchase Order.
9. Force majeure events, including but not limited to natural disasters, pandemics, or government-mandated closures affecting the Switzerland Zurich region, shall temporarily suspend delivery obligations without penalty to either party.
10. This Purchase Order may only be amended in writing, signed by authorised representatives of both parties. Verbal modifications are not valid.
