All equipment must be climate-rated and calibrated for the tropical conditions prevalent in Thailand Bangkok, with ambient temperatures ranging from 28°C to 38°C and humidity levels exceeding 75% during the monsoon season. Baker warrants that all units will function optimally under these Thailand Bangkok environmental conditions for a minimum period of twenty-four (24) months from the date of installation.

• Advance Payment: Forty percent (40%) of the total Purchase Order value, amounting to THB 1,611,334.40, shall be remitted by the Buyer to Baker within seven (7) business days of Baker's written confirmation of this Purchase Order.
• Delivery Payment: Fifty percent (50%) of the total Purchase Order value, amounting to THB 2,014,168.00, shall be due upon successful delivery and physical inspection of all items at the Thailand Bangkok site.
• Final Payment: The remaining ten percent (10%), amounting to THB 402,833.60, shall be paid within thirty (30) days following the completion of installation, calibration, and operator training services conducted by Baker's technical team.
• All payments shall be made via bank transfer to Baker's designated account: Bank of Ayudhya, Account No. 487-1-23456-7, Branch: Ratchaprasong, Bangkok, Thailand.
• Late payments shall incur a penalty of 1.5% per month on the outstanding balance, in accordance with Thai commercial law.

• This Purchase Order is governed by the laws of the Kingdom of Thailand. Any disputes arising from this Purchase Order shall be resolved through arbitration in Bangkok, Thailand, in accordance with the rules of the Thai Arbitration Institute.
• Baker warrants that all goods supplied under this Purchase Order are new, unused, and free from defects in materials and workmanship. The warranty period is twenty-four (24) months from the date of installation in Thailand Bangkok.
• Baker shall provide a comprehensive user manual, maintenance schedule, and parts list for each item in both English and Thai languages.
• The Buyer reserves the right to reject any item that does not conform to the specifications outlined in this Purchase Order. Rejected items must be replaced by Baker within ten (10) business days at no additional cost to the Buyer.
• Baker shall maintain full product liability insurance coverage for all goods delivered under this Purchase Order throughout the Thailand Bangkok metropolitan area.
• Neither party may assign or transfer its obligations under this Purchase Order without the prior written consent of the other party.
• This Purchase Order constitutes the entire agreement between the Buyer and Baker regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether written or oral.
• Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both the Buyer and Baker.

By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms, conditions, and specifications set forth in this Purchase Order.
