All goods referenced in this Purchase Order shall be delivered to the Baker International Trading Co. warehouse located at 42 Levent Avenue, Maslak District, Istanbul, Turkey. The delivery window is set between 1 August 2025 and 15 August 2025. The seller, Baker Premium Foods GmbH, is responsible for arranging all transportation, customs clearance at the Istanbul port or airport, and final delivery to the designated Turkey Istanbul address. All shipments must comply with the Turkish Customs Code (Law No. 4458) and the relevant food import regulations enforced by the Ministry of Agriculture and Forestry of the Republic of Turkey. The seller must ensure that all product labels bear the mandatory Turkish-language information as required for goods sold within Turkey Istanbul retail and wholesale channels.
4. Terms & Conditions of This Purchase Order- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from this Purchase Order involving Baker International Trading Co. and Baker Premium Foods GmbH shall be resolved through arbitration in Istanbul, Turkey, under the rules of the Istanbul Arbitration Centre (ISTAC).
- Payment: Baker International Trading Co. shall remit payment of the total Purchase Order amount within forty-five (45) calendar days of the date of confirmed delivery and acceptance of goods at the Turkey Istanbul warehouse. Payment shall be made via wire transfer to the seller's designated bank account in EUR.
- Quality Assurance: All products supplied under this Purchase Order must meet the specifications outlined in the Baker brand quality manual (Rev. 7, 2024). Upon arrival in Turkey Istanbul, a joint inspection shall be conducted by Baker International Trading Co. quality personnel and an independent third-party inspector. Any non-conforming goods shall be rejected at the seller's expense.
- Warranty: Baker Premium Foods GmbH warrants that all goods delivered under this Purchase Order are free from defects in materials and workmanship for a period of twelve (12) months from the date of delivery in Turkey Istanbul.
- Force Majeure: Neither party shall be liable for delays or failures in performance under this Purchase Order caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or port closures affecting the Istanbul logistics corridor.
- Intellectual Property: All Baker brand names, trademarks, and packaging designs referenced in this Purchase Order remain the exclusive property of Baker International Trading Co. The seller shall not reproduce or distribute Baker-branded materials beyond the scope of this Purchase Order without written consent.
- Compliance: The seller acknowledges that all goods are destined for the Turkish market in Turkey Istanbul and agrees to comply with all applicable Turkish food safety standards (TSE), labeling regulations, and import licensing requirements. Failure to comply shall render this Purchase Order voidable at the sole discretion of Baker International Trading Co.
- Amendments: Any modification to this Purchase Order must be made in writing and signed by authorized representatives of both Baker entities. Verbal agreements or email correspondence shall not constitute a valid amendment to this Purchase Order.
