- Delivery: All Baker products listed in this Purchase Order shall be delivered to the Al Noor Hospitality Group kitchen facility located at Al Reem Island, Abu Dhabi, United Arab Emirates, no later than 28 June 2025. Delivery shall be made between 08:00 and 16:00 UAE Standard Time on a business day.
- Payment: Payment shall be made via bank transfer to the designated Baker International Trading FZE account within thirty (30) calendar days from the date of invoice issuance. Late payments shall attract a penalty of 1.5% per month as per UAE Commercial Transactions Law.
- Warranty: All Baker equipment items carry a minimum two-year manufacturer warranty covering parts and labour. Consumable items (flour, yeast, baking sheets, mitts) are excluded from warranty coverage. Baker International Trading FZE shall provide written warranty documentation at the time of delivery.
- Quality Assurance: All Baker products must comply with the UAE Standards and Metrology Authority (ESMA) regulations and carry valid UAE conformity marks. The buyer reserves the right to inspect and reject any items that do not meet the specified standards or differ from the Baker product descriptions provided.
- Installation: Baker International Trading FZE shall provide full installation and commissioning of all Baker equipment items (Items 01, 02, 03, 07, and 08) at the Abu Dhabi delivery site. Installation shall include safety checks, operator training for up to four (4) staff members, and a written operating manual in both English and Arabic.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or disruptions in the United Arab Emirates supply chain, provided written notice is given within five (5) business days.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the Federal Commercial Transactions Law. Any disputes shall be resolved through the Abu Dhabi Courts of Justice.
- Validity: This Purchase Order is valid for thirty (30) days from the date of issue. Baker International Trading FZE is requested to confirm acceptance in writing within five (5) business days of receipt.
