1. Scope and Acceptance
This Purchase Order constitutes a binding agreement between Baker & Sons Artisan Bakery Ltd. (hereinafter "the Buyer") and Baker Wholesale Provisions Ltd. (hereinafter "the Baker Supplier") for the supply of all goods and services enumerated above. Acceptance of this Purchase Order by the Baker Supplier shall be confirmed in writing within five (5) business days of the date of issue. Failure to confirm within this period shall be deemed a rejection of this Purchase Order.
2. Delivery and Location
All goods specified in this Purchase Order shall be delivered to the Buyer's premises at 142 Corporation Street, Birmingham, B4 7BY, United Kingdom. The Baker Supplier is responsible for all transportation, handling, and insurance of goods until they are received and signed for at the designated Birmingham delivery address. The delivery window for all items is between 08:00 and 16:00 on the required delivery date of 26 June 2025. The Baker Supplier must provide a minimum of 48 hours' advance notice of the delivery vehicle registration and driver name to the Buyer's site manager in Birmingham.
3. Quality and Specifications
All baking ingredients supplied under this Purchase Order must meet or exceed the standards set by the United Kingdom Food Standards Agency (FSA) and comply with all applicable regulations within the United Kingdom. The Baker Supplier warrants that all flour, yeast, dairy products, and other food-grade materials are fresh, unadulterated, and accompanied by current batch traceability documentation. Industrial equipment (items 007 and 008) must be CE-marked, fully operational upon delivery, and accompanied by manufacturer warranties of no less than twenty-four (24) months.
4. Payment Terms
Payment for this Purchase Order shall be made by direct bank transfer to the Baker Supplier's designated account within thirty (30) calendar days of the date of the supplier's invoice, provided that all goods have been received in full and in satisfactory condition at the Birmingham facility. The Buyer reserves the right to withhold payment for any items found to be defective, damaged in transit, or non-conforming to the specifications outlined in this Purchase Order. Late payment shall attract interest at a rate of 2% per month above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 applicable in the United Kingdom.
5. Cancellation and Amendments
Either party may cancel or amend this Purchase Order in writing, provided that such cancellation or amendment is communicated no later than seven (7) business days prior to the required delivery date. Cancellation by the Buyer after this period shall be subject to a penalty of 15% of the total Purchase Order value. The Baker Supplier shall not commence manufacturing or procurement of bespoke items (specifically items 007 and 008) until written confirmation of this Purchase Order has been received.
6. Dispute Resolution and Governing Law
This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales, United Kingdom. Any disputes arising from or in connection with this Purchase Order shall first be subject to good-faith negotiation between the parties. Should negotiation fail, disputes shall be referred to mediation under the rules of the Centre for Effective Dispute Resolution (CEDR) in Birmingham, United Kingdom. If mediation is unsuccessful, the matter shall be submitted to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
7. Health, Safety, and Compliance
The Baker Supplier acknowledges that all deliveries to the Birmingham facility must comply with the United Kingdom's Health and Safety at Work etc. Act 1974. All drivers and delivery personnel must present valid identification upon arrival. The Baker Supplier must ensure that all food-grade products are transported in temperature-controlled vehicles where applicable, and that all equipment is packaged to prevent damage during transit within the United Kingdom Birmingham metropolitan area.
8. Confidentiality
Both parties agree to treat all pricing, quantities, and commercial terms contained within this Purchase Order as strictly confidential. Neither Baker & Sons Artisan Bakery Ltd. nor Baker Wholesale Provisions Ltd. shall disclose the terms of this Purchase Order to any third party without prior written consent, except as required by United Kingdom law or regulatory authority.
