Terms and Conditions of This Purchase Order
- This Purchase Order is issued by Golden Crust Baker Co., a registered business entity operating in United States Houston, Texas, and is governed by the commercial laws of the State of Texas and applicable federal regulations of the United States.
- All items listed in this Purchase Order must be delivered to the Baker facility at 4821 Westheimer Road, Houston, Texas 77056, United States, no later than July 1, 2025. Late delivery beyond five (5) business days entitles the Baker to cancel this Purchase Order without penalty.
- Baker & Sons Industrial Supply, Inc. shall provide all equipment in new, unused condition with a minimum of a two-year manufacturer's warranty. All consumable goods (flour, butter, yeast, sugar, parchment paper) must carry a minimum shelf life of six (6) months from the date of delivery.
- Payment shall be made via wire transfer to the account designated by Baker & Sons Industrial Supply, Inc. within thirty (30) calendar days of the invoice date. The invoice must reference this Purchase Order number (PO-HOU-2025-00487) for proper accounting reconciliation.
- All goods are subject to inspection upon arrival at the Baker warehouse in Houston. Any damaged, defective, or non-conforming items must be reported to the Baker procurement team within forty-eight (48) hours of delivery. Baker reserves the right to reject non-conforming goods and request immediate replacement at no additional cost.
- Installation of the deck oven, proofing cabinet, and dough mixers shall be performed by certified technicians from Baker & Sons Industrial Supply, Inc. Installation must be completed within five (5) business days of equipment delivery. All installation work must comply with Houston municipal building codes and United States Occupational Safety and Health Administration (OSHA) standards.
- This Purchase Order may not be assigned or transferred by either party without the prior written consent of the other. Any amendments to this Purchase Order must be documented in a written addendum signed by both parties.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail, disputes shall be resolved through binding arbitration in Houston, Texas, United States, in accordance with the rules of the American Arbitration Association.
- All materials and equipment procured under this Purchase Order are intended for use in the commercial baking operations of Golden Crust Baker Co. in United States Houston.
