Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Algeria, including the Algerian Commercial Code, the Banking and Financial Law (Law No. 15-09 of 2015), and all applicable regulations issued by the Bank of Algeria headquartered in Algiers.
Banker's Obligations: The Seller, acting as the designated Banker, shall provide all services and deliver all equipment in strict compliance with the standards set forth by the Bank of Algeria. The Banker guarantees full regulatory compliance, data sovereignty within Algerian territory, and adherence to the Central Bank's cybersecurity directives effective as of the date of this Purchase Order.
Payment Terms: Payment shall be made in Algerian Dinars (DZD) via bank transfer to the Seller's designated account in Algiers. A 30% advance payment is due upon signature of this Purchase Order. The remaining 70% shall be paid in two equal installments: 50% upon delivery and installation of all hardware and software, and 50% upon successful completion of the 30-day acceptance testing period.
Delivery and Installation: All physical equipment (ATMs, servers, networking hardware) shall be delivered to the Buyer's premises located in Algiers, Algeria. The Banker is responsible for all logistics, customs clearance (if applicable for imported components), installation, and initial configuration within the timelines specified in the line items above.
Warranty and Support: The Banker provides a minimum 24-month warranty on all hardware and a 12-month warranty on all software licenses. Technical support shall be available 24/7 through the Banker's Algiers operations center. Response time for critical system failures shall not exceed 4 hours.
Confidentiality and Data Protection: All financial data, client information, and transaction records processed under this Purchase Order shall remain within the jurisdiction of Algeria. The Banker shall not transfer, store, or process any data outside the national territory of Algeria without prior written consent from the Buyer and approval from the Bank of Algeria.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or regulatory changes enacted by the Bank of Algeria or the Algerian Ministry of Finance.
Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to amicable negotiation between the parties in Algiers. Failing resolution within 30 days, the matter shall be referred to the competent commercial court of Algiers, Algeria.
Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. All amendments must be filed with the relevant Algerian commercial registry.
Validity: This Purchase Order is valid for a period of 90 days from the date of issue. If not executed within this period, the Banker reserves the right to re-quote all line items based on prevailing market rates in Algiers.
